Assistant Manager/Manger, Corporate Legal
Roles and Responsibilities
- Advise and support cross-border M&A transactions, joint ventures and strategic investments
- Collaborate closely with business units on deal structuring and risk mitigation; and provide healthy challenge to business units on the viability of projects
- Coordinate proper legal and compliance risk analysis through due diligence alongside with internal stakeholder and external counsel
- Assist with post-acquisition integration, corporate secretarial works, corporate advisory and regulatory filings (e.g. competition law)
- Draft, review and negotiate a variety of legal documentation (e.g. corporate and commercial contracts)
- Support on compliance related matters, including providing advice, trainings, conducting third party due diligence, sanctions screening and assisting in internal investigations
Requirements
- Bachelor of Laws (LL.B) or Juris Doctor (J.D.) from a recognised institution, preferably with qualification to practise law
- 2 years' or more experience in private practice/ in-house legal team, with expertise in corporate, M&A, compliance or related practices
- Ability to work independently and collaboratively as part of a team
- Good communication and organisational skills
- Good attitude, proactive and eager to learn
- Experience in (i) shipping industry ; or (ii) familiarity with sanctions related procedures is a plus
