Associate General Counsel Corporate
You will lead corporate governance, board administration, entity management, strategic transactions, public company readiness, securities and SOX compliance, employment matters, and litigation. You will manage outside counsel, build scalable legal processes, and lead the corporate legal function.
Responsibilities
- Manage preparation for board and committee meetings, prepare materials, maintain corporate records and minutes, and advise on governance practices.
- Oversee corporate structure and subsidiary governance and ensure regulatory compliance across jurisdictions.
- Lead legal due diligence, negotiate transaction documents, and manage legal post-acquisition integration.
- Negotiate and draft complex commercial agreements, financing documents, and other strategic transaction documents.
- Drive public company readiness, including due diligence coordination and work with external counsel.
- Lead internal employment matters and litigation efforts.
- Develop and implement securities law compliance programs and insider trading policies.
- Develop and implement a SOX compliance framework, including internal controls, disclosure procedures, and certification processes, when applicable.
- Build and lead the corporate legal function, manage outside counsel, and create scalable legal processes and operations.
Requirements
- JD degree with at least one active bar membership.
- 10+ years of relevant experience.
- Experience at a nationally recognized law firm.
- Experience with securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX requirements.
- Experience driving public company readiness or managing public company compliance.
- Leadership, communication, and project management skills.
- Experience in the technology or SaaS industry is preferred.
