This position will operate in a hybrid work environment, 3 days per week in the office (Philadelphia, PA).

OVERVIEW:

This position acts as an integral team member in the Office of the Corporate Secretary, within the company’s Legal & Compliance department, focused on managing meetings and materials for the Company’s Board of Directors. The role includes both board relations and internal team coordination and strategic development.

RESPONSIBILITIES:

Board and Committee Meetings

  • Assist with planning for Board and Committee meetings by working with the Corporate Secretary (CS) and Executive Team to:
  • Build and proof Board and Committee agenda books in the Diligent portal. Utilize other portal functions as needed such as Questionnaires, Voting, and Calendar.
  • Coordinate all calendaring, including the scheduling of internal planning meetings.
  • Manage Board meeting logistics. Duties include coordinating with internal presentation teams (management and staff), Dining/Office Services, preparation of Director itineraries, and day of meeting support.
  • Coordinate all technology for virtual and hybrid Board and Committee meetings.
  • Assist directors with technology requests, working with the Help Desk as needed.
  • Coordinate follow up tasks for all Board related activities.
  • Coordinate director travel arrangements and associated expense management.
  • Manage the Director compensation process, including drafting fee statements and coordinating payments with accounting.

Program Management

  • Develop understanding of the policies and procedures of the Office of the Corporate Secretary and coordinate and draft updates, as needed.
  • Contribute to the development and management of Office of the Corporate Secretary and Legal department’s information technology, data and document management systems development.
  • Provide support in the management of outside legal vendor relationships and associated expense management.

Firm Building

  • Participate in special projects and identify process improvements.
  • Carry out other duties and responsibilities as assigned and carry out all responsibilities in compliance with company policies, procedures and practices.

REQUIRED QUALIFICATIONS:

  • Bachelor’s degree preferred or equivalent experience required.
  • 3+ years of relevant experience.
  • Advanced knowledge of Microsoft Office.

PREFERRED QUALIFICATIONS:

  • Experience with Diligent Board portal functions is preferred but not required.
  • Strong interpersonal and communication skills with Directors and other external contacts.
  • Ability to work independently and as a team member, be proactive and self-motivated.
  • Proven organizational and problem-solving skills.
  • Proven ability to work well under pressure with attention to detail.
  • Maturity and proven respect for confidentiality.
  • Excellent written and oral communication skills with proven ability to present, write, edit, and organize thoughts in a clear, concise, and well-organized manner.
