Chief Financial Officer (CFO)

Discussion

Ventaris Surgical is seeking a hands-on, company-building Chief Financial Officer to serve as the company's senior financial leader and a strategic partner to the CEO, Board of Directors, and executive team. The CFO's near-term mandate is to shape and execute the company's capital strategy, build an integrated operating plan through our clinical, regulatory, manufacturing, and commercial milestones, and establish the financial discipline required to move from clinical development through commercialization. The right leader can meet today's needs and scale with Ventaris through future financings, commercialization, and a potential IPO.

About Ventaris Surgical

Ventaris Surgical is a venture-backed medical device company founded in 2024 and headquartered in San Carlos, California. Backed by leading MedTech investors following a $30 million Series A financing, we are developing a next-generation ureteroscopic system designed to help surgeons achieve more complete kidney stone clearance in a single procedure while reducing the physical and cognitive burden of treatment.

Kidney stone disease is one of the world's most common urologic conditions. Nearly 1 in 10 people will experience a kidney stone in their lifetime, and more than 500,000 people undergo kidney stone surgery in the U.S. each year. Yet today's tools make it difficult for surgeons to consistently achieve complete stone clearance. Our vision is simple: every patient stone-free through a single procedure.

About the Role

Ventaris Surgical is seeking a hands-on, company-building Chief Financial Officer to serve as the company's senior financial leader and a strategic partner to the CEO, Board of Directors, and executive team. The CFO's near-term mandate is to shape and execute the company's capital strategy, build an integrated operating plan through our clinical, regulatory, manufacturing, and commercial milestones, and establish the financial discipline required to move from clinical development through commercialization. The right leader can meet today's needs and scale with Ventaris through future financings, commercialization, and a potential IPO.

This role requires someone who moves comfortably between strategy and execution. You will evaluate financing alternatives, lead future fundraising processes, advise on resource allocation and strategic alternatives, and provide leadership and the Board with clear, candid recommendations. You will also review the cash forecast, improve the monthly close, strengthen controls, oversee the cap table, and pressure-test operating assumptions. You will initially lead a lean finance function and build the team as the business requires. At Ventaris, every member of the senior team is a builder. This role is no different.

In Your First 12 Months

  • Build a Board-aligned capital plan and milestone-based operating model integrating clinical, regulatory, R&D, manufacturing, and commercial plans
  • Establish financing readiness and lead the company's next financing process, including recommendations on amount, timing, structure, and milestone alignment
  • Establish a predictable monthly close, cash forecast, Board reporting cadence, and scalable financial controls
  • Build the commercial economic model, including COGS, gross margin, pricing, capital and disposable economics, inventory, and commercial scaling assumptions

Key Responsibilities

Financial Strategy and Planning

  • Serve as the primary financial advisor to the CEO and leadership team, translating financial data into strategic insight and actionable recommendations
  • Own the annual budgeting and forecasting process, including cash runway modeling and scenario planning
  • Develop and maintain a long-range financial model that supports strategic decision-making across clinical development, operations, and commercialization
  • Partner with department leaders on financial planning, resource allocation, and cost management

Capital Strategy and Fundraising

  • In partnership with the CEO, develop the company's capital strategy and lead future financing processes, including Series B and beyond, from investor strategy and positioning through diligence, negotiation, and close
  • Maintain financing and diligence readiness through high-quality reporting, investor-ready financial models and Board materials, and a current data room
  • Serve as a key point of contact for existing and prospective investors and support clear, consistent investor communication

Operating Economics and Commercial Readiness

  • Partner with Operations and R&D on COGS, target costing, and gross margin planning as the product advances toward commercialization
  • Partner with the CEO and commercial leadership on revenue forecasting, pricing, capital and disposable unit economics, reimbursement assumptions, and console placement and deployment models
  • Partner with Operations to plan inventory, working capital, manufacturing capacity, and launch investment
  • Partner with commercial leadership to establish commercial planning and analytics, including pipeline visibility, site productivity, and resource allocation, to support forecasting and scale-up decisions
  • Establish financial decision gates for hiring, clinical investment, manufacturing capacity, and commercial expansion
  • Build and present analyses that support executive and Board decision-making on strategic alternatives

Financial Operations and Controls

  • Oversee all day-to-day financial operations, including accounting, accounts payable and receivable, payroll, treasury, and cash management
  • Establish and maintain internal controls, financial policies, and reporting processes appropriate for a growing early-stage company
  • Manage relationships with external accountants, auditors, banking partners, and tax advisors
  • Ensure timely and accurate monthly, quarterly, and annual financial close processes
  • Oversee equity administration, cap table management, and stock option program in coordination with legal counsel
  • Build and lead the finance and accounting team as the company scales, including future hires in accounting, FP&A, and finance operations
  • Oversee financial risk management, insurance coverage, and cash investment activities
  • Lead the selection and implementation of scalable financial systems and processes, including ERP, procurement controls, expense management, and budgeting tools, in partnership with functional leaders
  • Partner with legal counsel and functional leaders on the financial terms and risk implications of material contracts and corporate matters
  • Partner with HR on workforce planning and the financial design of compensation and employee benefit programs

Board and Reporting

  • Prepare and present financial materials for Board of Directors meetings and investor updates
  • Develop key financial metrics, KPIs, and dashboards that keep leadership and the Board informed and aligned
  • Maintain strong relationships with Board members and investors, demonstrating credibility and transparency in financial communication

Requirements

  • At least 15 years of progressive finance experience, including prior experience as a CFO, VP Finance, or equivalent senior finance leader in a venture-backed medical device or life sciences company
  • Personally led or co-led at least one significant institutional equity financing from strategy and investor positioning through diligence, negotiation, and close
  • Experience moving a development-stage company toward manufacturing and commercialization
  • Strong command of financial modeling, scenario planning, and investor-grade financial presentation
  • Experience building or significantly scaling a finance function in an early-stage or growth-stage company
  • Deep familiarity with GAAP accounting, financial controls, and audit preparation
  • Demonstrated ability to operate both strategically and tactically, comfortable rolling up your sleeves when the situation calls for it
  • Exceptional communication skills with the ability to translate complex financial information for non-finance audiences, including the CEO, Board, and clinical or engineering leaders
  • High integrity, sound judgment, and the ability to manage confidential and sensitive information with discretion
  • Direct experience presenting to and working with a Board of Directors, and ideally an Audit Committee, in a senior finance capacity
  • Education
  • Bachelor’s degree required, preferably in finance, accounting, economics, or a related field
  • CPA strongly preferred; MBA a plus

Preferred Qualifications

  • Direct medical device experience, particularly with capital equipment and recurring disposable business models
  • Familiarity with FDA-regulated environments and the financial planning considerations unique to device development timelines and regulatory milestones
  • Prior experience preparing a company for an IPO or serving in a senior finance role through an IPO process, including SEC reporting, SOX readiness, Audit Committee support, and public-company governance
  • Experience with a significant strategic transaction, such as an acquisition or strategic sale, including financial modeling, diligence, and coordination with external advisors

Why Join Ventaris

  • High impact from day one: we are a small team, and every role is mission-critical
  • A clear, compelling vision: every patient stone-free through a single procedure
  • A rare moment to help define a new standard of care, at a point when the field is still shifting away from incremental improvements
  • Backed by leading MedTech investors following a $30 million Series A financing
  • A low-ego, high-accountability culture grounded in collaboration, candor, and conviction

Who We're Looking For

  • We are a values-based company. Our values guide how we work and make decisions:
  • Collaboration: Time and attention are finite. Meetings are purposeful. Own your work, be accountable, and drive to closure. Asking for help is a strength, not a weakness.
  • Candor: Speak up early, directly, and respectfully. Debate ideas, not people. Raise concerns when they are small. Avoid politics, passivity, and condescension.
  • Conviction: Let the mission guide every decision. Make hard tradeoffs for the collective good. Focus on getting it right over being right. Challenge each other, then commit fully.
