Chief Financial Officer

Job Description:

We are looking for an experienced Chief Financial Officer (CFO) to lead the organisation's financial strategy, capital markets initiatives, investor relations, mergers and acquisitions, and overall financial governance. The ideal candidate will have strong experience in IPO execution, private equity fundraising, strategic finance, and business value creation, with the ability to partner closely with promoters, the Managing Director, and the Board.

Key Responsibilities:

- Lead IPO readiness and execution, including preparation and review of the Draft Red Herring Prospectus (DRHP), Red Herring Prospectus (RHP), due diligence, and regulatory compliance.

- Collaborate with merchant bankers, investment bankers, legal advisors, auditors, and regulatory authorities throughout capital market transactions.

- Lead valuation discussions, investor positioning, and engagement with institutional investors.

- Manage relationships with private equity firms, institutional investors, and financial institutions, including fundraising, investor presentations, negotiations, and financial disclosures.

- Represent the organisation before the Board, investors, lenders, and other key stakeholders, providing clear financial insights and strategic recommendations.

- Evaluate mergers, acquisitions, joint ventures, and investment opportunities to support business growth and expansion.

- Lead financial and commercial due diligence, valuation, transaction structuring, and negotiations, and oversee post-transaction financial integration.

- Partner with promoters, the MD, and the Board to formulate financial strategy, capital allocation plans, and long-term business objectives.

- Drive enterprise value creation, return on capital employed (ROCE), cash generation, profitability, and an optimal capital structure.

- Oversee budgeting, forecasting, financial planning and analysis, cost control, working capital management, and cash flow optimisation.

- Provide strategic leadership and governance oversight across the finance function, ensuring strong financial controls, transparency, and regulatory compliance.

Requirements:

- 20 - 30 years of relevant experience in finance leadership, corporate finance, capital markets, or strategic financial management.

- Proven experience in IPO readiness and execution, including DRHP/RHP processes and regulatory due diligence.

- Strong track record in private equity fundraising, investor relations, and institutional stakeholder management.

- Demonstrated experience in mergers and acquisitions, valuation, financial due diligence, and transaction structuring.

- Strong understanding of corporate finance, capital allocation, financial planning, working capital management, and business performance.

- Experience partnering with promoters, MDs, and Boards on strategic and financial decisions.

- Excellent leadership, negotiation, communication, and stakeholder management skills.
