Commercial and Corporate Counsel

You will support complex commercial transactions, strategic partnerships, enterprise deals, integrations, and other business initiatives. You will draft and negotiate agreements, advise stakeholders on transaction structure and risk, support corporate transactions and governance matters, coordinate with legal specialists, and improve contracting processes.

Responsibilities

  • Draft, negotiate, and execute commercial agreements
  • Structure and execute complex commercial arrangements
  • Advise stakeholders on transaction structure, risk allocation, and negotiation strategy
  • Support deal structures involving emerging technologies and blockchain infrastructure
  • Coordinate with regulatory, privacy, product, IP, employment, security, tax, and corporate legal specialists
  • Develop contracting templates and playbooks
  • Support investments, acquisitions, joint ventures, and corporate initiatives
  • Assist with corporate governance matters
  • Manage legal and operational risks

Requirements

  • 3–6 years as a commercial or technology transactions attorney
  • Experience at a top-tier law firm and in-house
  • Experience drafting and negotiating sophisticated commercial transactions
  • Experience with strategic partnerships
  • Excellent communication skills
  • Ability to advise on transaction structure and legal risk
  • Strong business judgment
  • Ability to manage multiple priorities
  • Exceptional attention to detail and organizational skills
  • Ability to work in person in San Francisco
  • Openness to occasional international travel
