Commercial Counsel AMER
You will draft, negotiate, and manage complex SaaS commercial agreements from initial review through closure. You will structure risk and compliance provisions, identify and escalate transaction risks, support procurement and due diligence, improve legal processes with AI tools, and advise stakeholders on commercial, product, and regulatory matters.
Responsibilities
- Draft and negotiate commercial contracts, including MSAs, SaaS agreements, SOWs, and NDAs
- Own contract review cycles from drafting and negotiation through closure
- Structure and negotiate risk-allocation and regulatory-compliance provisions
- Use AI tools to streamline reviews and improve legal templates and processes
- Create sales training and enablement materials
- Identify transaction risks and recommend mitigants for escalation
- Partner with procurement on high-risk vendor contract reviews
- Support due diligence involving material commercial contracts
- Advise stakeholders on legal risks, business strategies, product issues, and regulatory issues
Requirements
- At least 8 years of experience at a top-tier law firm or in-house at a technology company
- Experience negotiating complex software or SaaS transactions
- J.D. or LL.B from an accredited law school
- Active membership in good standing of a U.S. state bar
- Ability to use AI tools in legal workstreams
- Financial services, fintech, blockchain, cybersecurity, or crypto background preferred
