Commercial Legal Counsel Public Sector

You will negotiate, draft, and review complex commercial and technology agreements, including public sector contracts. You will advise stakeholders on contract structure, risk allocation, government procurement requirements, FedRAMP obligations, and data handling commitments. You will also maintain contract templates and playbooks, monitor legal developments, and deliver contracting training.

Responsibilities

  • Negotiate, draft, and review complex commercial and technology agreements.
  • Manage strategic and high-priority matters tied to large-value and material transactions.
  • Advise Sales and cross-functional teams on contract structure, risk allocation, and negotiation strategies.
  • Perform contractual risk analysis and recommend mitigation options.
  • Develop and maintain contract templates, playbooks, policies, and supporting documentation.
  • Monitor legal and regulatory changes and update templates and processes.
  • Create and deliver contracting training for contract managers and Sales team members.
  • Support federal, SLED, and government-adjacent transactions, including agreements subject to FAR, DFARS, GSA Schedule, and agency-specific clauses.
  • Advise on FedRAMP-related contracting obligations, data sovereignty commitments, data handling requirements, and authorized use restrictions.
  • Draft and maintain public sector contract templates, playbooks, and order form language.
  • Partner with Sales, Security, and Compliance to communicate the contractual implications of government certification and authorization programs.

Requirements

  • J.D. from an accredited law school and active bar membership in at least one United States state.
  • Experience at a major law firm and/or in-house legal department.
  • Experience negotiating and drafting complex commercial and technology agreements.
  • Ability to independently manage high-volume, strategic, and high-priority matters.
  • Knowledge of regional legal requirements and experience partnering with outside counsel.
  • Risk-spotting and risk-mitigation skills.
  • Experience improving or building contract templates, playbooks, processes, and documentation.
  • Communication, relationship-building, and stakeholder-influencing skills.
  • Ability to create and deliver training for Sales team members.
  • Ability to work remotely across time zones.
  • Working knowledge of FAR and DFARS and experience with flow-down clauses.
  • Familiarity with GSA Schedule contracting mechanics.
  • Understanding of SLED procurement rules.
  • Experience advising on or negotiating FedRAMP-related contractual obligations.
  • Understanding of data sovereignty in government contracting.
