Company Secretary, Assistant Manager

Overview

We are seeking a dedicated and detail-oriented Company Secretary (Manager level) to support corporate secretarial and compliance functions. The ideal candidate will have relevant experience, preferably within the property development industry, and a strong understanding of statutory and regulatory requirements in Malaysia.


Key Responsibilities

  • Prepare circular resolutions, annual returns, and other statutory forms and documents.

  • Ensure timely lodgment of statutory forms and returns with the Companies Commission of Malaysia (SSM) in compliance with regulatory deadlines.

  • Maintain and update statutory records, registers, and minutes books in accordance with legal requirements.

  • Prepare and certify company secretarial documents, including those related to the opening of bank/CDS accounts and changes in authorized signatories.

  • Coordinate the execution of resolutions, minutes, and other corporate documents, including follow-ups and proper filing.

  • Assist in drafting minutes of meetings as required.

  • Organize and support Board, Committee, and General Meetings, including preparation of agendas and meeting materials.

  • Assist in ensuring compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements, Securities Commission guidelines, and relevant corporate agreements (e.g. Memorandum & Articles of Association, Joint Venture and Shareholders’ Agreements).

  • Liaise with external auditors, company secretaries, and legal advisors (including overseas counterparts) on corporate secretarial and compliance matters.

  • Support ad-hoc assignments and administrative matters as required by management.



Requirements

  • Professional qualification such as ICSA (or equivalent). A degree in Law, Accounting, Business, or a related field is preferred.

  • Minimum 3–5 years of relevant corporate secretarial experience.

  • Prior exposure to the property development industry is an advantage.

  • Excellent written and verbal communication skills in English and Bahasa Malaysia; proficiency in Mandarin is an added advantage.

  • Proficient in Microsoft Office applications.

  • Highly organised, detail-oriented, and able to manage multiple deadlines in a fast-paced environment.

  • A proactive team player with the ability to work independently with minimal supervision.
