Company Secretary

We are seeking an experienced and detail-oriented company secretary to ensure the company’s compliance with statutory and regulatory requirements while supporting the Board of Directors and senior management in maintaining high standards of corporate governance. The ideal candidate will bring strong legal, administrative, and advisory expertise, with a proactive approach to managing corporate affairs.


Responsibilities:
  • Ensure compliance with all statutory and regulatory requirements, including filings with relevant authorities.
  • Act as the primary liaison between the company, regulatory bodies, and external stakeholders.
  • Organize and coordinate Board, committee, and general meetings
  • Provide guidance to the Board on corporate governance best practices and regulatory obligations.
  • Maintain and update statutory registers, records, and company documentation.
  • Monitor changes in relevant legislation and advise management accordingly
  • Support the implementation of corporate policies and ensure adherence across the organization
  • Handle company secretarial duties related to incorporation, restructuring, and other corporate actions.
  • Assist in drafting resolutions, policies, and official correspondence and contracts for the company for all outside and external partnerships, joint venture and engagements
  • Files the company's shares
  • Review contracts from third parties and vendors on behalf of the company


Requirements

  • Bachelor’s degree in law, business administration, or a related field.
  • Experience working within the IT, Fintech or Financial services industry.
  • Professional certification- ICSAN Certified Mandatory.
  • Minimum of 3-4 years of proven experience as a Company Secretary
  • Strong knowledge of corporate governance principles and regulatory frameworks.
  • Excellent understanding of statutory compliance and legal requirements.
  • Strong organizational, documentation, and record-keeping skills.
  • Excellent written and verbal communication skills.
  • High level of integrity, professionalism, and confidentiality.
  • Ability to work independently and provide strategic guidance to senior leadership.
