Corporate and Securities Lawyer

The Corporate Securities Lawyer is responsible for providing legal support across securities regulation, public company compliance, corporate governance, corporate finance, capital markets activities, mergers and acquisitions, equity compensation, and general corporate matters. Reporting to the General Counsel, this role works closely with senior leadership, Finance, Investor Relations, the Board of Directors, and cross-functional stakeholders to ensure compliance with Canadian securities laws and TSX requirements, support strategic business transactions, and maintain effective governance practices. The role has a significant impact on mitigating legal and regulatory risk, enabling corporate growth initiatives, supporting capital markets activities, and strengthening governance standards across the organization and its global subsidiaries.

Key Responsibilities

Advise on Canadian securities law compliance, TSX requirements, and public company disclosure obligations.
Support the preparation, review, and filing of continuous disclosure documents, including annual and interim filings, MD&A, AIFs, management information circulars, and other securities filings.
Review news releases, investor communications, and public disclosures for legal and regulatory compliance.
Advise on materiality assessments, timely disclosure requirements, insider trading regulations, selective disclosure, and trading blackout policies.
Support insider reporting obligations and securities compliance processes.
Monitor developments in securities regulation, stock exchange requirements, and corporate governance practices.
Support responses to securities regulatory inquiries and compliance matters.
Provide legal and governance support to the Board of Directors and Board committees.
Assist with the preparation of Board and committee materials, resolutions, minutes, and governance documentation.
Advise on corporate governance matters, including director and officer obligations, conflicts of interest, indemnification, and governance policies.
Support the planning and execution of annual and special shareholder meetings.
Maintain corporate records and governance processes across the organization.
Provide legal support for debt and equity financings, refinancing transactions, and capital structure initiatives.
Review, draft, and negotiate financing and transaction documentation.
Advise on corporate finance, capital markets, and securities law matters arising from financing activities.
Support mergers and acquisitions, investments, divestitures, joint ventures, reorganizations, and other strategic transactions.
Conduct and coordinate legal due diligence and manage transaction workstreams.
Collaborate with Finance, Tax, and business stakeholders on transaction structuring, implementation, and closings.
Support the administration and governance of equity incentive plans, including stock options and restricted share units.
Advise on equity compensation matters, including grants, vesting, exercises, amendments, and terminations.
Provide legal support for subsidiary governance, corporate reorganizations, and intercompany transactions across multiple jurisdictions.
Manage external counsel, budgets, and legal service delivery on assigned matters.
Develop legal templates, precedents, playbooks, and process improvements to enhance Legal team efficiency.
Support legal operations initiatives, knowledge management, and the adoption of legal technology and AI solutions

Skills, Knowledge and Expertise

LL.B., J.D., or equivalent law degree.
Member in good standing with the Law Society of Ontario.
4-7 years of corporate and securities law experience gained in a leading law firm and/or publicly traded company.
Strong knowledge of Canadian securities laws, corporate law, and Toronto Stock Exchange requirements.
Experience advising public companies on continuous disclosure, governance, and securities compliance matters. Experience sup
porting corporate finance, capital markets, debt financing, refinancing, and restructuring transactions.
Experience with mergers and acquisitions, investments, joint ventures, and other strategic transactions.
Knowledge of Board governance practices, shareholder meeting requirements, and corporate secretarial matters.
Experience with equity compensation plans and stock exchange requirements relating to incentive plans.
Familiarity with corporate reorganizations and multinational subsidiary structures.
Strong legal drafting, contract negotiation, analytical, and problem-solving skills.
Excellent organizational skills with the ability to manage multiple priorities independently.
Ability to provide practical, business-focused, and commercially sound legal advice.
Strong stakeholder management skills with the ability to work effectively with senior executives, directors, and cross-functional teams.
Experience managing external counsel and legal budgets.
Stong attention to detail, sound judgment, and risk assessment capabilities. E
xperience within technology, software, or other complex multinational organizations is considered an asset.
Proficiency in legal operations improvements, process optimization, and the use of legal technology and AI tools is an asset.

In line with the amended Employment Standards Act 2000, the salary range for this role is: $130K - $150K, dependent on assessment of skills during the interview process.
