Corporate Counsel

You will lead commercial legal work for AI infrastructure transactions, including drafting, reviewing, and negotiating agreements with neocloud providers, customers, partners, vendors, and technology providers. You will align supplier and customer commitments across capacity, pricing, service levels, security, liability, and termination terms. You will advise on regulatory compliance, disputes, corporate governance, financing, intellectual property, and strategic matters. You will also build legal processes, manage outside counsel, and oversee the legal budget.

Responsibilities

• Draft, review, and negotiate MSAs with neoclouds and customers.
• Design commercial agreements and creative deal structures with partners, vendors, and technology providers.
• Partner with Product, Engineering, Security, Finance, and Operations on contractual commitments.
• Navigate regulatory and compliance requirements, including AI sales restrictions, potential CFTC oversight, SOC 2, GDPR, financial-services, and data-privacy laws.
• Lead responses to disputes, litigation, and regulatory inquiries.
• Advise on corporate governance, fundraising, debt and equity financings, intellectual property protection, and strategic corporate matters.
• Build contract templates, negotiation playbooks, approval processes, and systems for tracking contractual obligations and risk.
• Manage outside counsel and the legal budget.

Requirements

• J.D. and active membership in good standing in at least one U.S. state bar.
• 5+ years of relevant legal experience, including commercial technology transactions and meaningful in-house experience.
• Significant experience drafting and negotiating complex infrastructure, cloud, or enterprise customer MSAs.
• Strong understanding of committed capacity, usage-based pricing, SLAs, security obligations, indemnities, liability caps, and termination economics.
• Ability to compare interconnected supplier and customer agreements, identify mismatched obligations, and develop practical risk mitigations.
