Corporate Paralegal
Description
Position Overview
Join our in-house Legal Department as a Corporate Paralegal and work as a key legal partner across three companies: Beitzel Corporation, Pillar Innovations, LLC, and Beitzel Corporate Services, LLC. No two days look the same. One day you might be managing corporate entities and reviewing NDAs. The next, you could be negotiating credit terms, keeping licenses and regulatory compliance on track, supporting business deals, or helping resolve disputes.
You’ll report directly to the General Counsel, handle meaningful work on your own, and see how your contributions help the business grow. You’ll get to know our operations, products, and services from the inside, building business knowledge that makes you a trusted advisor and not just a document processor.
What You'll Do
- Corporate Filings: prepare and file entity maintenance documents with state agencies, including annual reports, registered-agent updates, and good-standing certificates.
- Contract Lifecycle: support the Legal Department by reviewing non-disclosure agreements, credit agreements, and other transaction documents using approved templates, and maintain a contract calendar of key dates and obligations.
- Compliance & Licensing: maintain business licenses, registrations, and renewals across jurisdictions, and government-contractor registrations; process wage garnishments, levies, and similar notices served on the Company.
- Certificates of Insurance: obtain and distribute Company certificates of insurance, and review vendor and subcontractor certificates for compliance with contract requirements.
- Vendor Setup: including initial review of credit terms and revisions as necessary.
- Customer Setup: including initial setup, qualification documents, renewals, and sam.gov annual renewal.
- Act as a primary point of contact between legal and procurement teams with regard to the following:
- Initial bid review of all documents to identify contracts and other bid items for necessary legal review.
- Review SOW’s for legal terms.
- Draft, review, redline, and coordinate execution of contracts with customers, subcontractors, and third-party vendors, escalating non-standard terms to legal counsel
- Maintain the contract database and legal file repository, tracking key dates, renewals, and obligations for NDAs, MSAs, SOWs, and related agreements
- Litigation and Disputes: assist with fact gathering, document collection, litigation holds, and discovery responses.
- Legal Operations: maintain Legal Department logs, reports, contracts, and metrics; review outside counsel invoices and coordinate payment of legal vendors and subscriptions; and maintain templates, playbooks, and standard operating procedures.
- Legal Technology: support the Legal Department’s contract management, document management, and e-signature systems, and use Company-approved artificial intelligence tools responsibly to improve productivity, subject to attorney review and the Company’s confidentiality requirements.
