Corporate Secretarial Assistant Manager
Salary : $4000-$6000
Working hour :Mon- Fri 9.30-6.30pm
Location : Beach Road (Bugis)
Corporate Secretarial Functions
- Manage the full spectrum of corporate secretarial duties for a portfolio of clients.
- Ensure compliance with the Singapore Companies Act, ACRA regulations, and other statutory requirements.
- Organize, coordinate, and prepare agendas, board papers, resolutions, and minutes for board meetings and general meetings.
- Plan, coordinate, and oversee Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs), and board meetings.
- Maintain and update statutory registers, minute books, and corporate records.
- Handle company incorporations, registration of foreign entities, and ongoing corporate administration matters.
- Perform ACRA e-filings accurately and within stipulated deadlines.
- Prepare and file dormant accounts and annual returns.
- Prepare full and partial XBRL financial statements for filing.
Client Management & Coordination
- Serve as the primary point of contact for clients on corporate secretarial matters.
- Arrange meetings with clients and provide professional advisory support on statutory compliance requirements.
- Follow up proactively with clients on outstanding documents, approvals, payments, and regulatory filings.
- Coordinate with directors, auditors, accountants, tax agents, banks, and regulatory authorities to ensure timely completion of assignments.
- Monitor filing deadlines and ensure all compliance obligations are met promptly.
- Billing & Administrative Management
- Prepare engagement letters, fee quotations, and service agreements where required.
- Manage billing processes, including invoicing clients and monitoring outstanding receivables.
- Follow up on client payments and coordinate collection activities.
- Maintain accurate billing records and ensure timely issuance of invoices.
- Assist management in budgeting, workflow planning, and resource allocation for the corporate secretarial department
Team Leadership
- Supervise and guide junior corporate secretarial staff.
- Review work completed by team members to ensure accuracy and compliance.
- Assist in developing and improving internal processes and workflow efficiencies.
- Provide training and mentoring to junior staff where required.
Requirement
- Degree in Law, Business, Corporate Administration, Accountancy, or related discipline.
- Minimum 3–5 years of relevant corporate secretarial experience, preferably in a corporate secretarial firm or professional services environment.
- Knowledge of the Singapore Companies Act, ACRA regulations, and corporate governance requirements.
- Experience in ACRA e-filing and preparation of full and partial XBRL
