ACRA RQI / Corporate Secretarial Manager

Job Responsibilities

• Lead and manage the corporate secretarial team, providing coaching, guidance, and performance support.
• Oversee a portfolio of Singapore-incorporated, listed, private, and offshore companies
• Ensure full compliance with ACRA statutory requirements and corporate governance regulations
• Handle corporate secretarial matters including incorporations, share transactions, capital restructuring, rights issues, and corporate restructuring exercises.
• Prepare board resolutions, shareholder resolutions, meeting minutes, and statutory documents.
• Attend board and shareholder meetings and ensure timely statutory filings with ACRA and relevant authorities.
• Advise clients on corporate governance, regulatory compliance, and company secretarial matters.
• Drive process improvements, workflow automation, and effective use of corporate secretarial systems.
• Liaise with auditors, banks, legal advisors, and internal stakeholders on corporate transactions and compliance matters.
• Support regulatory reviews, special projects, and mentor junior team members to enhance technical competency.
  
  Job Requirements

• Bachelor's Degree in Business, Law, Accountancy, or related discipline.

• ICSA/CSIS qualification will be an added advantage.

• Minimum 6–8 years of corporate secretarial experience, including at least 2 years in a managerial role.

• Strong knowledge of the Singapore Companies Act, ACRA regulations, and SGX Listing Rules.
