Corporate Secretarial Manager

Responsibilities

· Lead, coach and mentor a team of corporate secretarial professionals.

· Manage a portfolio of Singapore private, listed and offshore entities and act as a key client contact.

· Advise clients on corporate governance, statutory compliance and Companies Act requirements.

· Handle and review corporate actions including incorporations, share transactions, capital restructuring,

rights issues and corporate reorganisations.

· Prepare and review board and shareholders’ resolutions, meeting minutes and statutory documents.

· Ensure timely and accurate ACRA and other regulatory filings.

· Work closely with clients, auditors, banks, legal counsel and internal teams on corporate matters.

· Review team deliverables to ensure technical accuracy and quality.

· Support process improvements, workflow automation and adoption of corporate secretarial technology.

Requirements

· Degree in Business, Law, Accountancy or related discipline.

· Minimum 8 years of corporate secretarial experience, with proven supervisory or team leadership

experience.

· Strong knowledge of the Singapore Companies Act and ACRA regulations.

· Experience with listed companies and/or offshore entities will be an advantage.

· Hands-on experience with corporate transactions such as restructuring, rights issues, capital restructuring or

funding exercises.

· Strong corporate governance and statutory compliance knowledge.

· Proven experience leading, coaching or mentoring a team.

· Strong client management and communication skills.

· ICSA/CSIS qualification would be an advantage.
