Corporate Secretarial Manager
Key Responsibilities
- Manage and oversee the corporate secretarial team to ensure timely and accurate delivery of services.
- Handle a portfolio of local and foreign companies, ensuring compliance with the Singapore Companies Act and other regulatory requirements.
- Advise clients on corporate governance, statutory compliance, and corporate secretarial matters.
- Prepare and review directors' and shareholders' resolutions, minutes, annual returns, and other statutory documents.
- Manage company incorporations, strike-offs, share allotments, transfers, changes in company officers, and other corporate actions.
- Ensure timely filing of statutory returns and lodgements with ACRA and other relevant authorities.
- Liaise with clients, auditors, tax agents, banks, and regulatory authorities on corporate secretarial matters.
- Review and maintain statutory registers and corporate records.
- Train, mentor, and supervise junior corporate secretarial staff.
- Improve internal processes and ensure compliance with the firm's quality standards.
- Keep abreast of changes in corporate laws, regulations, and compliance requirements.
- Other corporate and administrative or ad-hoc duties as assigned.
Requirements
- Minimum 5 years of relevant corporate secretarial experience, preferably with an accounting firm or Corporate Service Provider (CSP).
- Strong knowledge of the Singapore Companies Act, ACRA regulations, and corporate governance practices.
- Professional qualification such as Chartered Secretary (CGI/SAICSA) is an advantage.
- Attention to detail and ability to handle tasks in a prompt and efficient manner
- Familiarity with corporate secretarial software.
- Excellent communication, interpersonal, and client management skills.
- Strong leadership, organizational, and problem-solving abilities.
- Meticulous, proactive, and able to manage multiple priorities in a fast-paced environment.
- Good written and oral communication skills
- Proficiency in English and Mandarin
