Oversee corporate compliance and governance for a Singapore-based financial company, handling statutory filings, regulatory updates, and corporate secretarial duties.
Job Description
- Ensure all statutory filings with ACRA are completed accurately and on time (e.g., annual returns, changes in officers, share capital, registered office, etc.).
- Oversee and maintain annual compliance with the Companies Act and other relevant regulations.
- Lead and coordinate the incorporation and registration of new companies, foreign branches, representative offices, and other corporate structures.
- Prepare, review, and update corporate documents such as company constitutions, registers, minutes, and statutory records.
- Draft, review, and circulate Directors’ Resolutions and Shareholders’ Resolutions to ensure compliance and timely approvals.
- Coordinate with and manage external service providers and contractors on annual compliance and statutory obligations, including overseeing quality and timeliness of deliverables.
- Advise management and business units regarding statutory and regulatory obligations.
- Stay updated on regulatory changes and recommend required changes to internal processes or documents.
- Support statutory audits and regulatory inspections as required.
- Handle ad hoc corporate secretarial duties and special projects as assigned.
Requirements
- Diploma / Bachelor’s Degree in Law, Business Administration, Accountancy, or related discipline.
- ICSA qualification (Chartered Secretary) or equivalent preferred.
- At least 3 years of relevant corporate secretarial experience in a professional firm or in-house environment, with at least 1-2 years in a supervisory position.
- Hands-on experience handling statutory filings with ACRA and corporate governance matters under the Singapore Companies Act.
- Skills:
- Strong working knowledge of ACRA BizFile+, Companies Act, and other relevant statutory requirements.
- Proficient drafting skills for corporate documents, minutes, resolutions, and regulatory filings.
- Exceptional attention to detail and excellent organizational skills.
- Ability to manage multiple deadlines and priorities in a fast-paced environment.
- Effective communication skills in English (written and spoken).
- Ability to work independently as well as collaboratively in a team.
