Corporate Secretary
Key Responsibilities
- Handle the full spectrum of corporate secretarial work for a portfolio of Singapore companies.
- Incorporate new companies and register business entities.
- Prepare and lodge statutory filings with ACRA via BizFile+.
- Draft directors' and shareholders' resolutions, meeting minutes, and other corporate documents.
- Maintain statutory registers, company records, and corporate secretarial databases.
- Ensure clients comply with the Singapore Companies Act and ACRA statutory requirements.
- Coordinate annual compliance matters, including Annual General Meetings (AGMs), Annual Returns (ARs), and other statutory deadlines.
- Process changes relating to directors, shareholders, company officers, registered office addresses, company names, share allotments, transfers, and other corporate actions.
- Liaise with clients, auditors, tax agents, banks, government authorities, and other professional parties.
- Assist clients with bank account opening documentation and other corporate administration matters.
- Provide timely and professional support to clients on corporate secretarial matters.
- Keep up to date with regulatory developments and ensure compliance with relevant legislation.
- Support the team on ad-hoc projects and assignments as required.
Requirements
- Degree in Business, Law, Corporate Administration, or related disciplines.
- At least 1-3 years of Singapore corporate secretarial experience (Senior Executive: 3 years or above).
- Familiar with the Singapore Companies Act, ACRA requirements, and BizFile+.
- Experience handling a portfolio of Singapore companies independently.
- Good knowledge of routine corporate secretarial transactions.
- Strong written and verbal communication skills in English.
- Good organisational and time management skills.
- Able to work independently while being a team player.
- Proficient in Microsoft Office applications.
- Experience with corporate secretarial software (e.g. CAS360) will be an advantage.
