What You’ll Do\:
- Support the Vice President and Corporate Secretary on corporate, securities, board governance, and various regulatory legal matters
- Assist with preparation and posting of agendas, presentations, and minutes for Board of Directors and Committee meetings
- Serve as the primary administrator for the company’s electronic Board portal
- Support annual proxy statements and stockholder meetings, including director/officer questionnaires
- File annual corporate governance documents with the NYSE, including affirmations and dividend notices
- Manage regulatory filings and ensure compliance with applicable requirements
- Assist with mergers, acquisitions, and other corporate transactions through due diligence and document preparation
- Collaborate with internal teams (Legal, Capital Markets, etc.) to provide corporate documentation and support business initiatives
- Conduct legal research and assist attorneys with special projects
