Corporate Structures Advisor
Responsibilities:
- Advise clients on company formation, restructuring, mergers, acquisitions, and
liquidation processes.
- Provide guidance on selecting the most suitable legal structures (e.g., Free Zone,
Mainland, Offshore, DIFC, ADGM) based on client requirements.
- Draft, review, and oversee corporate documents such as MOA, AOA, shareholder
agreements, and board resolutions.
- Ensure compliance with relevant legal, regulatory, and tax frameworks, including DIFC
and ADGM regulations.Liaise with government authorities, notaries, and regulatory bodies to facilitate
approvals and documentation.
- Conduct research on corporate governance practices, international structuring options,
and financial structuring strategies.
- Support clients with compliance audits, due diligence, and risk assessments.
- Collaborate with internal teams (legal, tax, finance, and business development) to
deliver end-to-end structuring solutions.
- Contribute to expanding the business development department into structural advisory
services.
- Maintain accurate records, reports, and updates for client portfolios.Build and maintain long-term relationships with clients by delivering professional,
trusted, and solution-oriented advisory services.
Education & Experience: - Bachelor’s degree in any related field, MBA preferred.
- Minimum 3+ years of experience in corporate structuring, governance, or advisory
roles.
- Proven track record in advising clients on UAE and international company structures,
including DIFC and ADGM frameworks.
- Strong understanding of financial structuring and its role in corporate governance and
strategy.

- Strong knowledge of corporate governance, legal documentation, and regulatory
frameworks.
- Proficiency in company formation procedures across UAE jurisdictions (Mainland, Free
Zone, Offshore, DIFC, ADGM).
- Excellent research, drafting, and analytical skills.
- Legal knowledge with the ability to interpret and apply regulatory frameworks
effectively.
Proficiency in MS Office Suite and corporate compliance tools.
