Counsel, Corporate and Fintech Products
You will be a cornerstone of the legal team, driving the execution of a global commercial strategy while safeguarding corporate integrity. You will lead the drafting, negotiation, and review of complex commercial agreements, including SaaS licensing, strategic partnerships, vendor services, and institutional trading agreements. You will counsel on corporate governance, manage entity tasks, and prepare Board materials. You will oversee the IP portfolio, support equity plan administration and intercompany agreements, track global regulatory developments in digital assets, partner with Product, Engineering, and Sales to launch compliant features, and assist with disputes and regulatory inquiries.
Responsibilities
- Lead the drafting, negotiation, and review of complex commercial agreements, including SaaS licensing, strategic partnerships, vendor services, and institutional trading agreements
- Provide legal counsel on corporate governance frameworks and manage entity management tasks
- Assist in preparing materials for Board of Directors meetings
- Oversee and protect the IP portfolio, including trademark filings and patent strategy
- Support equity plan administration, internal restructurings, and intercompany agreements
- Track global regulatory developments in digital assets and financial services and advise stakeholders on risks
- Partner with Product, Engineering, and Sales teams to launch new features in compliance with financial regulations
- Assist in handling commercial disputes, regulatory inquiries, and internal legal policy development
Requirements
- Juris Doctor (JD) or equivalent legal degree from an accredited institution
- Active admission to a State Bar and in good standing
- 5+ years of legal experience, ideally at a top-tier law firm followed by in-house experience at a high-growth fintech or digital asset platform
- Deep experience in corporate law, commercial transactions (SaaS and partnerships), and fintech regulations
- Familiarity or expressed interest with cryptocurrency, blockchain technology, and associated global regulatory frameworks
- Ability to distill complex legal concepts into actionable business advice for non-legal stakeholders
