Director, Legal Counsel

ASM is seeking a Director, Legal Counsel based in Phoenix, Arizona to support one of ASM's key sites globally, serving as a major hub for research & development and commercial activities. The Phoenix site plays a critical role in ASM's global operations and innovation efforts, bringing together cross-functional teams focused on the development, production, and support of advanced semiconductor equipment.

The primary focus of this role is to provide day-to-day commercial legal support, with flexibility to contribute to a broad spectrum of other legal matters, such as employment law, governance and regulatory compliance, depending on competence and interest. This role will partner closely with local and global business teams and integrate into ASM's global legal function.

While the role is scoped at Director level, we are open to considering exceptional, less experienced candidates who demonstrate strong business acumen, a growth mindset, and the potential and ambition to develop into a Director-level legal business partner over time.

Key Responsibilities

Commercial Legal Support (60-70% of the time)
  • Review, draft, and negotiate commercial contracts, with focus on supplier contracts
  • Partner with sourcing and operations stakeholders locally and globally to provide proactive legal advice enabling efficient, practical, and risk-aware decision-making
  • Coordinate with the global commercial legal team to ensure alignment with ASM's contracting practices and negotiation strategies
  • Lead local and global legal development initiatives, contribute to standardization and scaling of legal processes across ASM globally
  • Ensure alignment between local needs and ASM’s global legal strategy and policies
Additional tasks – Depending on competence and interest (30-40% of the time)
  • Provide timely, pragmatic legal advice on a broad range of local day-to-day matters
  • Advise on US employment law matters and partner with People Team to manage employee-related legal risks
  • Instruct and manage external counsel for specialized matters, ensuring cost-effective and high-quality legal support
  • Support local governance activities and government inquiries or investigations as needed
  • Contribute to risk identification and mitigation strategies
  • Ensure compliance with ASM policies and applicable laws
  • Deliver legal training to business teams
Qualifications & Experience
  • Qualified US lawyer (or equivalent legal qualification with strong US law expertise)
  • Minimum 7 years of relevant legal experience, with a strong background in commercial/contract law
  • Strong stakeholder management and communication skills, with the ability to build productive relationships across functions and cultures
  • Ability to work effectively in a global, cross-functional environment and embrace new challenges and opportunities for development
  • Business mindset with an interest to understand operational and commercial objectives and help the business achieve them responsibly
  • In-house experience is preferred
  • Experience with employment law and regulatory matters is a bonus
