Director, Loan Origination and Structuring
Job Purpose
The Director, Loan Origination & Structuring will lead origination, structuring, negotiation, and execution of sponsor backed financing transactions across leveraged buyouts, recapitalisations, financings, portfolio company refinancing, and bespoke private credit mandates.
The role positions FAB as a key lender and structuring partner for regional and international private equity clients, financial sponsors, family groups, and investment holdings.
This role expands the bank’s market share in sponsor related lending, ensuring solutions align with FAB’s credit appetite, commercial strategy, and global risk governance.
Key Accountabilities:
• Develop and maintain strong relationships with private equity sponsors, investment firms, family conglomerates, sovereign-linked entities, and corporate holdings.
• Originate lending opportunities including senior secured, unitranche, mezzanine, HoldCo structures, bridge-to-bond financings, and recapitalization structures.
• Identify cross-sell opportunities in coordination with DCM, Ratings Advisory, Loan Syndicate & Distribution, and Corporate Coverage teams.
• Lead detailed structuring and execution of sponsor finance transactions including:
• Credit analysis, modelling, scenario testing
• Term sheet development
• LMA/LSTA-standard documentation negotiation
• Covenant formulation and leverage calibration
• Due diligence review (financial, commercial, legal)
• Coordinate all internal stakeholders including Credit, Risk, Legal, Finance, Compliance, Operations to ensure timely deal approvals.
• Oversee the ongoing performance and monitoring of sponsor-linked exposures.
• Lead amendments, waivers, restructurings, and covenant resets where required.
• Maintain strong documentation discipline and compliance with audit and regulatory standards.
Qualifications and Experience:
- Bachelor’s in finance, Business, Economics or related field.
- Strong exposure to financial sponsor community and private equity ecosystem.
- Strong credit assessment and financial modelling capability.
- Deep understanding of leveraged lending structures, LMA/LSTA documentation, intercreditor negotiations, and covenant design.
- Strong transactional leadership and negotiation skills.
- Understanding of regional regulatory frameworks.
- 8–12 years in leveraged finance, sponsor finance, loan origination, private credit, or structured lending.
