The Division of Corporation Finance, Disclosure Review Program (DRP) is seeking an early career Law Clerk (Disclosure Review Law Clerk) with strong analytical skills and attention to detail. The DRP is organized as nine Industry Offices. As a Law Clerk, you will assist on a variety of matters within one of the nine Industry Offices in the DRP.

In this role as a Law Clerk, you will be responsible for: Interpreting registration and reporting requirements of the Securities Act and the Exchange Act. Reviewing filings and reports required by the Securities Act, including initial public offerings, and the Exchange Act and available exemptions from the registration requirements of the Securities Act. Developing ideas and recommendations addressing significant issues under the Federal securities laws. Recognizing, analyzing, and resolving complex disclosure issues in registration statements and periodic reports filed with the Commission. Drafting and editing precise and well-organized documents, such as examination reports and letters detailing findings. Working directly with corporate officers, underwriters, public accounting firms and counsels.
