FINANCIAL CONTROLLER (IPO Readiness)

Financial Reporting & Compliance

• Oversee the preparation of monthly, quarterly, and annual financial statements in accordance with IFRS/SFRS(I).
• Ensure timely and accurate financial reporting to management, Board of Directors, and external stakeholders.
• Lead the year-end audit process and liaise with external auditors.
• Ensure compliance with statutory, tax, and regulatory requirements.

IPO Readiness

• Lead finance workstreams for IPO preparation.
• Coordinate with investment bankers, legal advisors, auditors, reporting accountants, and regulatory authorities.
• Prepare historical financial information required for IPO prospectus.
• Support due diligence exercises and respond to financial queries from advisors.
• Develop financial reporting processes that meet listed company requirements.
• Ensure readiness for continuous disclosure obligations and financial announcements.

Internal Controls & Corporate Governance

• Design, implement, and strengthen internal control frameworks.
• Establish policies and procedures aligned with public-listed company standards.
• Conduct risk assessments and recommend control improvements.
• Ensure compliance with corporate governance requirements.

Financial Planning & Analysis

• Prepare annual budgets and rolling forecasts.
• Perform variance analysis and provide recommendations to management.
• Develop financial models to support strategic planning and fundraising.
• Monitor cash flow, working capital, and capital expenditure.

Treasury & Cash Management

• Manage banking relationships and financing arrangements.
• Optimize cash flow and liquidity.
• Oversee foreign exchange exposure and financial risk management.

Tax & Regulatory Matters

• Coordinate corporate tax planning and compliance.
• Liaise with tax consultants and government authorities.
• Ensure compliance with GST/VAT and other tax obligations.

ERP & Process Improvement

• Drive finance system enhancements and ERP implementation.
• Automate financial reporting and improve operational efficiency.
• Standardize accounting policies across the Group.

Team Leadership

• Lead and develop the finance and accounting team.
• Review staff performance and identify training needs.
• Foster a culture of accountability and continuous improvement.

Stakeholder Management

• Present financial results to senior management and the Board.
• Partner with business leaders on strategic initiatives.
• Manage relationships with auditors, bankers, regulators, and investors during the IPO process.

Preferred Experience

• Successfully led or participated in an IPO or reverse takeover (RTO).
• Experience with Singapore Exchange (SGX), Bursa Malaysia, Hong Kong Stock Exchange (HKEX), or other public markets.
• Experience in multinational or regional finance operations.
• Familiarity with ESG reporting and sustainability disclosures.
• Experience implementing SOX-style internal controls or equivalent governance frameworks.
