NewBe an early applicantYou will play a key role in protecting the Group’s interests by managing global legal risks. You will be responsible for generating, negotiating, and reviewing all in-house legal documents and customers/vendors contracts in order to achieve optimal terms of business. You will provide legal advice and support for new and/or proposed projects and manage all litigation through to resolution. You will supervise all the contract related activities for product trading.
KEY TASKS AND RESPONSIBILITIES:
- Oversee all legal aspects arising from commercial/financial activity such as shipbuilding contracts, ship sale & purchase agreements, product offtake agreements, loan agreements, investments, mergers & acquisitions, etc.
- Liaise with internal stakeholders to provide day-to-day transactional legal support/guidance in relation to commercial matters in the Shipping, Trading and Onshore departments such as trade disputes, charterparties, bills of lading, customs clearances, etc.
- Generate and review in-house legal documents such as intercompany share purchase agreements, shareholder agreements, intercompany loan agreements, corporate restructurings, etc.
- Negotiate and review non-trade contracts and terms of business with external vendors and intermediaries to ensure optimal results for Petredec.
- Maintain the corporate database and filing of corporate records, including but not limited to board resolutions, shareholder resolutions, board of director changes, regulatory filings, etc.
- Manage the resolution of legal disputes, including coordinating with external counsel, drafting correspondence, and preparing evidence.
- Manage all contract-related activities for product trading.
REQUIREMENTS OF THE JOB:
Qualifications, Experiences, Knowledge, and Skills
- Law degree and admittance to practice in one or more Commonwealth jurisdictions, including Singapore.
- At least 10years PQE in a firm or in-house legal for a commodity trading house or maritime.
- Fluent in English both written and verbal.
- Candidate should be self-motivated, collaborative, adaptable and possess a strong analytical ability.
- Strong communication, interpersonal and organizational skills; must be able to work independently and interact with stakeholders at all levels.
- Experience in diagnosing difficult legal circumstances, able to apply pragmatically to support internal customers to make good business decisions that minimize legal risk exposure.
