Innovation - Merger and Acquisition Manager

Division: Group Digital Capabilities (GDC)

About the Role: We are seeking a dynamic and experienced Mergers and Acquisition manager to join the innovation tribe. In this role, you will be responsible for internal coordination of IT assessments done in the scope of wider Merger and Acquisition initiatives and enable the post-merger integration initiatives when applicable. You will also be a point of contact for 3rd parties when a due diligence is required on the platform being developed by the innovation tribe and will coordinate the process in an autonomous way.

To achieve it, you will work closely with multi-functional teams from all the IT organization and will be exposed to a diversified set of topics, business and technologies.

Key Responsibilities:

M&A roadmap - tribe readiness and planning

  • Liaise regularly with the IT M&A responsible to understand the M&A demand, estimate workloads for engagement and propose tribe mechanisms to deal with the existing volatility in demand
  • Organise tribe planning to cope and manage at best with the existing volatility and the available visibility

M&A - tribe service catalogue definition:

  • Define a service catalogue of our tribe for the M&A assessment process based on the type of deal and the post-deal strategy, including alignment with IT Strategy.
  • Collaborate with various groups to identify and document services required for different deal scenarios.
  • Ensure the service catalogue is comprehensive and aligns with business goal

Assessment and Due Diligence execution on future mergers and acquisitions:

  • Enable within the tribe different type of assessments to be done on potential target acquisitions – from light health checks to thorough due diligences.
  • When applicable, conduct comprehensive technology due diligence for M&A deals including assessment of:
  • Fit with IT strategy
  • Assess adequacy of IT from the target to the business needs of the target and strength compared to the class of competitors
  • Improvement opportunities on existing capabilities
  • Assess the target company's overall IT department. Assessment of all dimensions is required - infrastructure, systems, governance, processes, people and leadership, financials (OPEX and CAPEX) and culture
  • Identify potential risks and opportunities related to technology integration including assessment of:
  • Horizontal and vertical integration opportunities
  • Diversification strategies (can the acquisition allow a decommissioning for instance)
  • Prepare detailed reports on findings and IT recommendations.
  • When applicable:
  • work closely with external consultancy partners providing guidance and steer to ensure alignment with our corporate strategy,
  • Review and validate the external consultancy partners findings and recommendation
  • Develop high level IT integration plans that align with the overall M&A strategy.
  • Drive the assessment process and coordinate the team composed of people from different IT divisions

Define Post-Merger Integration (PMI)

  • Coordinate input to PMI playbook for IT, including:
  • Feed to the PMI playbook, based on integration plans
  • Assembling the view in Euroclear for the future commercial collaboration (FITA, Ideations, Collaboration Agreements, Budgeting) and integrations taking into consideration the M&A pattern defined
  • Assess executability (availability of capacity, possibility to prioritise it in the ITH)
  • Prepare and coordinate transition of project execution to the assigned Roadmap

Due Diligence Preparation from third party on our platform

  • Anticipate and prepare identifiable questions from a third party on their due diligence process on the platform being developed as part of the Innovation tribe delivery.
  • Ensure all necessary documentation and information are readily available for review.
  • Coordinate the overall process with the third party and provide internal reporting to tribe management on its status

Qualifications:

  • Education: Bachelor’s degree in Information Technology, Computer Science, or a related field.
  • Experience: Minimum of 10 years of experience in IT, with a focus on M&A activities.
  • Skills:
    • Solid understanding of IT infrastructure and business processes.
    • Excellent project management and organizational skills.
    • Ability to work effectively in a fast-paced, dynamic environment.
    • Strong analytical and problem-solving abilities.
    • Superb communication and interpersonal skills.
