Job specification
Handle corporate secretarial work for various fund projects including 80 plus Singapore or offshore companies/Limited Partnerships/VCC/Branch
Draft Members’/Directors’ writing in resolutions for Singapore private companies/Limited Partnerships/VCC/Branch and registers to post/update into the minutes books of the entities
Prepare AGM and EGM documentation for the private Companies and VCC
Handle incorporation and striking off Singapore Private Companies, Singapore Branch and VCC
Handle Shares Transfer and application of relevant Stamp Duty for Private companies and VCC with Inland Revenue Authority of Singapore (“IRAS”)
Handle various shares related transaction for fund structure,ie, Shares Allotment, Preference Shares Redemption, Profit Distribution, etc.
Prepare the lodgment of statutory documents with ACRA
Update Statutory Records and Register (i.e.Register of Members, Directors, Charges, Registers of Registrable Controllers and Register of Nominee Directors, etc.)
Assist in KYC related tasks/on-boarding process
Issuance of share certificates, to complete physical filing from time to time
Setting-up of CorpPass Accounts and assign third party
Organize, attend the Board Meeting/IC Meeting, Members Meeting including preparation of Board Pack for the clients
Review documents prepared by team members
Provide guidance to team members
Involve into billing process and Co Sec internal process/procedure implementation/enhancement
Skills Required:
Good knowledge of Singapore Companies Act, Singapore VCC Act, Corporate Governance, ACRA regulations for various types of entities in Singapore and procedure of various secretarial transactions.
Knowledge of fund structure is an advantage.
Good communicator and high attention to detail
Proactive, problem solver, able to work independently and able to work with other as a team
Ability to review and guide team members on secretarial related matters
Ability to work under pace environment and multi-tasks
Ability to liaise and work well with various stakeholders,ie. directors, banker, auditors, tax agent, investment manager, authority and etc
