We work with multinational corporations, private equity sponsors, asset managers, financial institutions and founders on M&A transactions, co-investments, financings, corporate reorganisations, governance matters and other complex advisory mandates.

Main duties and responsibilities

Areas of responsibilities will include but will not be limited to:

  • Advise clients on corporate transactions, including mergers and acquisitions, private equity investments, joint ventures and corporate reorganisations
  • Draft, review and negotiate transaction documentation and corporate agreements
  • Lead or play a central role in the execution of transactions, including signing and closing processes
  • Provide ongoing legal support to clients on corporate governance, compliance and operational matters
  • Work closely with colleagues across practice groups and international offices to deliver integrated client solutions
  • Contribute to client development activities, thought leadership initiatives and market engagement opportunities
  • Participate in knowledge-sharing, legal updates and practice development initiatives

About you

We welcome applications from candidates with relevant experience advising on corporate transactions and corporate law matters. This role is generally suited to lawyers who have developed their expertise through approximately 2 - 4 years of post-qualification experience in an international law firm.

The successful candidates will have the following experience and qualifications:

  • Qualification (or imminent qualification) as a lawyer in Luxembourg or another European jurisdiction
  • Strong experience advising on corporate transactions including mergers and acquisitions, private equity investments, joint ventures and corporate reorganisations
  • Solid technical knowledge of corporate law principles and transactional practice
  • Strong analytical skills and the ability to identify legal issues and deliver practical, solution-oriented advice
  • Fluency in English, both written and spoken. Working knowledge of French and/or German would be an advantage
  • Ability to manage competing priorities and deliver high-quality work within deadlines
  • Ability to build and maintain effective working relationships with clients, colleagues and external stakeholders
