Legal & Compliance Officer
Role Overview-
To ensure end-to-end legal and regulatory compliance for all lending and operational activities of the NBFC, including client due diligence, transaction structuring, documentation, regulatory adherence, and litigation management in line with RBI guidelines and applicable laws.

Key Responsibilities:
1. Legal Documentation & Transaction Management
· Draft, vet, and manage legal documentation including Loan Agreements, Term Sheets, Sanction Letters, Security Documents (Mortgages, Guarantees, Hypothecation, Pledge, Declarations, etc.)
· Ensure accuracy, completeness, and enforceability of all legal documents.
· Standardize documentation templates in line with regulatory and business requirements.
2. Client Due Diligence & Credit Support
· Draft and continuously formulate processes for KYC and related Borrower due diligences in line with the Regulatory/internal requirements.
· Support credit team by providing legal insights on borrower risk, collateral enforceability, and structuring transactions.
· Guide Credit Analysts on legal implications related to lending proposals.
3. Property & Asset Due Diligence
· Perform title verification and legal due diligence for property-backed transactions.
· Validate ownership, encumbrances, and legal clearances.
· Oversee mortgage creation and ensure proper documentation of security interests.
4. Regulatory Compliance & Reporting
· Ensure compliance with applicable laws, including:
-RBI Act, Rules, Regulations, and Circulars
-Companies Act, 2013
-NBFC-specific regulatory frameworks
· Monitor regulatory updates and ensure timely implementation across the organization.
· Draft and respond to communications from RBI and other statutory/regulatory authorities.
· Maintain compliance trackers and ensure adherence to timelines.
5. Statutory Registrations & Filings
· Handle registration and compliance requirements including:
-Charge registration with ROC
-Security interest registration with CERSAI
-LEI (Legal Entity Identifier) registration and renewals
-CKYC compliance
· Ensure timely filings and renewals to avoid regulatory penalties.
6. Litigation & Recovery Management
· Manage litigation portfolio including:
-Coordination with external legal counsel
-Tracking case progress and maintaining legal MIS
· Draft and issue legal notices (demand notices, recall notices, etc.)
· Support recovery proceedings and enforcement actions under applicable laws.
7. Stakeholder Management
· Liaise with:
-Internal teams (Credit, Operations, Risk, Secretarial)
-External stakeholders (law firms, regulatory authorities, clients)
· Provide timely legal advice and support for business decisions.
· Ensure compliance with applicable laws, including:
-RBI Act, Rules, Regulations, and Circulars
-Companies Act, 2013
-NBFC-specific regulatory frameworks

Requirements
Qualifications & Experience
- LLB / LLM from a recognized university
- Certification in Banking & Finance Laws / Financial Regulations / Compliance Management will be preferred
- 5 - 8 years
of experience in Legal & Compliance within NBFC / Banking / Financial Services
- Experience
in lending transactions, documentation, and regulatory compliance is essential
