Job Summary:

The Contracts Administrator owns Blossom's contract and legal document lifecycle end to end, with a strong emphasis on the Master Service Agreement (MSA): drafting, maintaining, and version-controlling the MSA and related templates, redlining routine commercial agreements, organizing and maintaining the corporate data room, and driving due diligence readiness. The role also brings in-house a range of legal aide/paralegal work currently handled by outside counsel, including drafting and finalizing investor and equity documents and preparing state and federal legal filings such as trademark applications. This is a mid-level process-ownership role requiring independent judgment over document accuracy, version control, and contract risk triage — not an entry-level or purely clerical position. The role currently operates without a dedicated in-house legal function and is expected to know when to escalate higher-risk or substantive legal matters to outside counsel or leadership.

Duties/ Responsibilities:

  • Own and maintain the Master Service Agreement (MSA) and other core contract templates, keeping language current with business, regulatory, and product changes

  • Redline and outine/basic commercial contracts (NDAs, vendor agreements, standard MSAs) within pre-approved risk parameters; flag and escalate non-standard or high-risk terms

  • Serve as document control owner for all legal and corporate documents — contracts, corporate records, policies — ensuring version accuracy and accessibility

  • Build, organize, and maintain the corporate data room; keep it audit- and diligence-ready on an ongoing basis rather than reactively

  • Lead document collection and organization for due diligence processes (financing, partnership, audit, or acquisition-related)

  • Track contract expirations, renewals, and key obligations; maintain a contract calendar and status log

  • Partner with Finance, Compliance, Sales, and People Operations to route contracts for signature and ensure proper execution and storage

  • Identify and implement improvements to contract workflows and document management tools/processes

  • Support Compliance, Finance, and Sales with contract-related requests, including pulling and validating documentation

  • Serve as the point of contact for due diligence requests from investors, customers, or auditors — locating, compiling, and organizing the relevant documents into a single, request-ready folder

  • Maintain a version history of the MSA, tracking changes across iterations and ensuring the correct current version is always in use

  • Periodically audit executed contracts against the current approved MSA/template to confirm signed agreements reflect the latest provisions; flag discrepancies

  • Draft and issue contract amendments to customers when terms change, and track amendments through signature

  • Draft and finalize investor and equity documents (e.g., subscription agreements, stock/option grant paperwork, cap table-related filings), coordinating with outside counsel on review as needed

  • Prepare and file state and federal legal filings, including trademark applications and other routine corporate filings, bringing this work in-house from outside counsel

  • Serve as a legal aide/paralegal resource to leadership, handling routine legal document work previously outsourced to the company's outside law firm

  • Maintain confidentiality of sensitive legal, financial, and corporate information.

  • Perform other related duties as assigned.


Required Skills/ Abilities:

  • Demonstrated ability to redline commercial contracts

  • Strong organizational skills with high attention to detail and document accuracy

  • Ability to work independently and exercise sound judgment on when to escalate legal risk

  • Excellent written communication skills

  • Ability to manage a data room or similar centralized document repository

  • Familiarity with contract lifecycle management (CLM) tools preferred

  • Comfortable operating as a power user of AI tools (Claude and similar platforms) to accelerate contract review, drafting, and document organization

  • Proficient with Google Workspace or similar tools.


Education and Experience:

  • Bachelor's degree in a related field, or equivalent combination of education and experience

  • 5 to 10 years of experience in contracts administration, legal operations, paralegal work, or a similar document/process-ownership role

  • Paralegal certificate or equivalent legal training required

  • Experience in fintech, financial services, or a regulated industry preferred


Physical Requirements

  • Prolonged periods sitting at a desk and working on a computer.

  • Must be able to lift up to 15 pounds at times.
