Legal Counsel

【Job Summary】
We are seeking a proactive and business-oriented Legal Counsel to support our growing legal and business operations. You will be responsible for ensuring the company’s global legal architecture is robust, scalable, and prepared for future growth opportunities. The ideal candidate is hands-on, detail-oriented, and comfortable operating in a fast-paced U.S.-based startup environment, collaborating across functions and geographies.

【Key Responsibilities】
Contract & Commercial Support:

• Draft, review, and negotiate domestic and international agreements in English and Chinese, including but not limited to supplier, manufacturing, sales, distribution, business partnership, and other commercial contracts.
• Oversee the negotiation of high-stakes, cross-border commercial agreements. Ensure that both international (EN/CN) and domestic contract standards align with global risk management goals.

Corporate Investment Matters:

• Support corporate investment initiatives, providing advisory on structural scaling and cross-border investment frameworks.
• Assist with corporate governance documentation and regulatory filings to ensure compliance with local and international requirements.
• Coordinate with external counsel across multiple jurisdictions as needed to facilitate the smooth execution of legal matters.

Compliance & Government Affairs:

• Develop and implement internal compliance programs
• Advice on regulatory requirements across jurisdictions
• Support the corporate governance framework and policy development
• Serve as a key contact for regulatory inquiries and risk assessments

Intellectual Property:

• Support the management of the company’s intellectual property portfolio, including trademarks, patents, and trade secrets, ensuring proper protection across jurisdictions.
• Provide guidance on trade secret protection and internal IP safeguarding practices to maintain the company’s competitive advantage.

Cross-Border & Cross-functional Coordination (Legal/Regulatory Affairs):

• Collaborate closely with commercial teams, finance, operations, R&D, and other internal stakeholders to provide timely and practical legal guidance, ensuring business initiatives are compliant and legally sound.
• Coordinate with global affiliates for contract reviews, compliance, and other legal requirements.
• Act as a bridge between US headquarters and regional operations, managing external counsel and navigating complex cultural and legal landscapes.

【Requirements】

• Bachelor’s degree in Law (J.D., LL.B., or equivalent) required.
• 3~5 years of post-qualification experience in a law firm and/or in-house legal department of a multinational corporation.
• Strong drafting, negotiation, analytical, and commercial skills.
• Strong corporate governance and cross-border commercial experience.
• Practical experience of enterprise-level business with a solid understanding of commercial and contract law principles.
• Demonstrated experience working across international and multicultural teams.
• Professional fluency in English and Chinese.
