Our client is seeking an experienced Corporate/Transactional Lawyer with approximately 5–7 years of experience and strong hands-on expertise in commercial contract drafting, review, and negotiation. You will play a key role in independently managing contractual and transactional matters, with particular emphasis on commercial agreements and investment-related documentation. Your work will directly support their corporate and investment activities while helping ensure transactions are well-structured and legally protected.
Key Responsibilities
- Independently draft, review, revise, and negotiate a broad range of commercial agreements and transactional documents.
- Support corporate and investment transactions by preparing and reviewing relevant legal documentation, agreements, and ancillary documents.
- Review investment and fund-related documentation, including shareholder agreements, investment agreements, financing documents, subscription agreements, and related transaction materials.
- Identify legal and commercial risks in agreements and provide practical recommendations to protect their interests.
- Participate directly in negotiations with clients, investors, counterparties, financial institutions, and external counsel.
- Manage contractual matters from initial drafting and review through negotiation, execution, and closing.
- Provide practical legal guidance to internal and external stakeholders while maintaining accurate, high-quality legal documentation.
Must-Have Qualifications
- Approximately 5–7 years of relevant experience as a Corporate Lawyer, Transactional Lawyer, Legal Counsel, or similar professional.
- Substantial hands-on experience independently drafting, reviewing, and negotiating commercial agreements.
- Demonstrated ownership of complex contractual matters, with the ability to manage legal work with limited supervision.
- Strong contract analysis and negotiation skills, including the ability to identify and address legal and commercial risks.
- Experience supporting corporate or transactional matters and working with sophisticated legal documentation.
- Fluent English with the ability to confidently draft, review, negotiate, and discuss legal documents with English-speaking stakeholders.
- Strong judgment, attention to detail, and the ability to take ownership of matters from beginning to end.
Preferred Qualifications
- Direct experience with investment, fund, private equity, asset management, or similar transaction documentation.
- Experience working directly on investment transactions or supporting transaction execution and closing.
- Background in financial services, investment management, banking, or a similar environment.
- Experience with international or cross-border transactions.
- Licensed or admitted to practice law in Panama or another relevant jurisdiction, where applicable.
