Position Summary
Squaretalk is seeking an experienced Legal Counsel with a minimum of 10 years of legal experience to serve as the company's principal legal advisor. The Legal Counsel will be responsible for all legal, corporate governance, compliance, regulatory, commercial, employment, privacy, and strategic legal matters across the Group's international operations.
The successful candidate will partner closely with the CEO, executive leadership team, Board of Directors, investors, and external legal advisors to support the company's growth, international expansion, fundraising activities, corporate structure, and risk management initiatives.
Key Responsibilities
Corporate & Board Governance
Advise the CEO and Board on corporate governance and legal matters.
Manage shareholder resolutions, board resolutions, corporate records, and governance documentation.
Support fundraising rounds, venture capital transactions, debt facilities, and strategic investments.
Manage ESOP plans, shareholder agreements, and cap table-related legal matters.
Support corporate restructuring and international expansion initiatives.
Commercial Contracts
Lead negotiation and drafting of:
Enterprise SaaS agreements
Contact center and telecommunications agreements
Channel partner and reseller agreements
Technology licensing agreements
Vendor and procurement agreements
Data Processing Agreements (DPAs)
NDAs and confidentiality agreements
Establish contract standards and approval frameworks.
Compliance & Privacy
Ensure compliance with:
GDPR
UK GDPR
Telecommunications regulations
International privacy laws
Consumer protection laws
Employment regulations
ISO 27001 and security frameworks
Develop internal compliance policies and training programs.
Employment & HR Legal
Advise on employment agreements and contractor arrangements.
Support management in disciplinary actions and terminations.
Review compensation plans, commission structures, and executive agreements.
Ensure compliance across all jurisdictions where the company operates.
Strategic Transactions
Lead legal aspects of:
Fundraising rounds
Mergers and acquisitions
Strategic partnerships
International corporate structuring
Investor due diligence
Coordinate external law firms and specialist advisors.
Risk Management
Identify and mitigate legal and regulatory risks.
Manage disputes, claims, and litigation.
Develop internal controls and legal processes.
Reduce dependency on external counsel where appropriate.
Product & Technology
Advise Product and Engineering teams on:
AI regulations
Telecommunications regulations
Intellectual property
Product terms and conditions
Licensing matters
Data protection requirements
Required Qualifications
Education & Licensing
Qualified attorney admitted to practice law in at least one recognized jurisdiction.
Law degree (LLB, JD, or equivalent).
Additional postgraduate legal qualifications are an advantage.
Experience
Minimum 10 years of post-qualification legal experience (PQE).
Strong experience supporting international technology, SaaS, telecommunications, fintech, or software businesses.
Demonstrated experience in corporate transactions, fundraising, and commercial contracting.
