Legal Counsel

• Draft and review corporate acts including articles of incorporation, bylaw amendments, meeting minutes, and all corporate routines in Mid-Americas.
• Conduct registration processes of corporate acts with authorities in Mid-Americas.
• Conduct internal projects for corporate and contractual regularization.
• Advise on structuring and reviewing corporate governance for companies in LATAM countries.
• Draft, review, and negotiate commercial contracts with clients and suppliers (service agreements, supply, partnerships, strategic deals) in Mid-Americas.
• Ensure contracts comply with internal and regulatory requirements.
• Support contractual demands from LATAM countries, ensuring compliance with local laws.
• Participate in M&A operations, especially due diligence and post‑closing, supporting the M&A team when necessary.
• Monitor litigations, especially labor and commercial in Mid-Americas.
• Help define legal strategies for relevant litigation.
• Coordinate external law firms in Mid-Americas, ensuring alignment with corporate strategy.
• Review internal processes and propose improvements to mitigate legal risks.
