Our client is looking for a Legal Counsel to lead regulatory, commercial, and corporate legal matters in a fast-paced, cross-border environment.

Key Responsibilities

  • Lead all regulatory matters, including licensing applications, renewals, and ongoing compliance across multiple jurisdictions.
  • Monitor regulatory developments and provide legal guidance on market entry, licensing requirements, and compliance obligations.
  • Liaise with external legal advisers on regulatory matters and ongoing compliance.
  • Advise on and maintain the corporate structure across multiple entities.
  • Oversee corporate governance matters and ensure compliance with statutory requirements.
  • Support mergers and acquisitions (M&A), corporate restructuring, and other strategic corporate initiatives.
  • Draft, review, negotiate, and advise on a broad range of commercial agreements, including licensing, technology, marketing, and partnership contracts.
  • Manage vendor, supplier, and third-party service agreements.
  • Lead legal due diligence for commercial transactions and strategic projects.
  • Develop and manage intellectual property strategies, including the protection and enforcement of IP rights.
  • Oversee compliance with applicable data protection and privacy regulations across relevant jurisdictions.
  • Establish and maintain legal and compliance frameworks.
  • Manage disputes, litigation, regulatory investigations, and coordinate with external legal counsel where required.
  • Provide legal support on employment matters, HR policies, and sensitive personnel issues.
  • Develop legal processes, contract templates, and playbooks to support business operations.
  • Conduct legal and compliance training for internal stakeholders where required.
  • Manage relationships with external legal advisers across multiple jurisdictions.
  • Monitor legal and regulatory developments and provide practical recommendations on their business impact.
  • Support strategic initiatives and ad hoc legal projects as business needs evolve.

Requirements

  • Bachelor's degree in Law (LLB) from a recognised university.
  • Qualified lawyer in Singapore, Malaysia, the United Kingdom, or another common law jurisdiction.
  • 5–8 years of post-qualification legal experience gained in private practice, in-house, or a combination of both.
  • Strong knowledge of intellectual property (IP), technology, media and telecommunications (TMT), regulatory frameworks, and licensing matters.
  • Proven experience drafting, reviewing, and negotiating commercial contracts, ideally within the technology, gaming, or digital services sectors.
  • Experience with corporate structuring, cross-border legal matters, or international data protection regulations is advantageous but not essential.
  • Able to work independently in a fast-paced, dynamic environment.
  • Strong organisational and prioritisation skills with the ability to manage multiple responsibilities effectively.
  • Meticulous, proactive, and commercially minded, with sound judgement and strong problem-solving abilities.
  • Excellent communication and stakeholder management skills, with the ability to translate complex legal and regulatory matters into practical business advice.
