Job Description:

Position Overview

Lead and oversee the company’s legal, compliance, intellectual property, dispute resolution, financing and investment, and international legal matters. Build a legal and compliance framework tailored to an innovative embodied AI company, providing end-to-end legal support across R&D, product development, commercialization, supply chain operations, financing and investment, and international business expansion.

Key Responsibilities

Contract and Commercial Legal Management

  • Lead the drafting, review, revision, negotiation, and full lifecycle management of a broad range of Chinese and English commercial agreements and legal documents, including R&D cooperation agreements, technology licensing agreements, supply chain agreements, sales framework agreements, financing and investment agreements, confidentiality agreements, and non-compete agreements.

  • Identify and assess legal and business risks, develop and standardize contract templates, and balance business objectives with effective legal risk management.

Compliance Framework Development and Implementation

  • Develop and implement the company’s compliance management framework in light of the specific characteristics of embodied AI, humanoid robotics, and AI algorithm R&D, covering data compliance, algorithm compliance, product safety, employment and labor compliance, commercial compliance, anti-fraud, antitrust, and other relevant areas.

  • Monitor developments in applicable laws, regulations, and regulatory policies, and provide compliance guidelines, risk alerts, and remediation plans.

Intellectual Property Management

  • Oversee the company’s intellectual property strategy and operations, including trademarks, trade secrets, and related protection and enforcement activities.

  • Handle technology infringement matters, intellectual property disputes, competitor infringement investigations, and other specialized IP matters to safeguard the company’s technological advantages.

Dispute Resolution and Risk Management

  • Independently lead the handling of litigation, arbitration, employment disputes, commercial disputes, regulatory inquiries, and other legal matters, including evidence review, case assessment, litigation strategy, court proceedings, and settlement negotiations.

  • Effectively manage and respond to urgent legal risks, regulatory issues, and compliance-related public relations or reputational matters.

International Legal Affairs

  • Independently handle the drafting and review of legal documents in English, international business negotiations, compliance reviews for overseas cooperation, and legal due diligence on overseas counterparties and business partners.

  • Manage relationships with external international law firms and oversee legal risks associated with overseas operations, cross-border cooperation, and international commercialization of products.

Financing, Investment, and Project Legal Support

  • Provide legal support for major corporate initiatives, including equity financing, project investments, M&A and strategic partnerships, and industry-academia-research collaborations.

  • Conduct legal due diligence, assess transaction structures, review transaction documents, identify and mitigate legal risks, and support transaction execution and implementation.

Legal Operations and Business Enablement

  • Oversee the company’s overall legal function, including process optimization, policy development, and legal operations management.

  • Provide ongoing legal advice and training to business teams and develop practical, business-oriented legal solutions that can be effectively implemented.

  • Promote a strong culture of compliance and enhance company-wide legal and compliance awareness.

External Legal Resource Management

  • Coordinate and manage relationships with external law firms, notary offices, intellectual property agencies, judicial authorities, and administrative and regulatory bodies.

  • Manage external legal resources and ensure high-quality, cost-effective legal services.

Qualifications

Core Requirements

  • A Bachelor’s degree in business administration, management, legal studies, finance, or a related field with a strong foundation in legal theory and practice.

  • Have an active license to practice law as an active member in good standing with the State Bar of California.

  • At least 5 years of full-time legal practice experience at an established law firm. Candidates must have law firm experience; senior lawyers and law firm partners are also encouraged to apply. Candidates with an independent client base, substantial independent case-handling experience, and project management experience will be preferred.

  • Fluent in both Chinese and English, with the ability to use English as a working language and independently draft and review legal documents in English, conduct cross-border legal negotiations, assess international compliance matters, and handle a broad range of international legal affairs.

  • Strong knowledge of commercial law, contract law, intellectual property law, data security law, personal information protection law, and labor and employment laws and regulations. Familiarity with the compliance requirements applicable to technology companies, artificial intelligence, and advanced manufacturing is highly preferred.

Skills and Experience

  • Extensive experience in civil and commercial litigation and arbitration, dispute resolution, and commercial negotiations, with the ability to independently manage complex legal disputes from start to finish.

  • Strong legal risk assessment, analytical, and problem-solving skills.

  • Experience in building corporate compliance frameworks, standardizing contract management systems, and managing intellectual property throughout its lifecycle. Experience advising technology companies, AI companies, robotics companies, or advanced intelligent manufacturing businesses is preferred.

  • Practical experience in financing and investment transactions, equity structuring, commercial partnerships, and industry-academia-research projects, with the ability to support the diverse legal needs of a rapidly growing company.

  • Strong commercial acumen and the ability to look beyond the law itself, understand business contexts, balance compliance risks with business efficiency, and develop practical, actionable legal solutions.

  • Excellent organizational and management skills, cross-functional communication skills, and external stakeholder management capabilities.

  • Strong analytical and logical thinking, a high level of professionalism and accountability, the ability to work effectively under pressure, and proven experience in team management and overall work coordination.

Preferred Qualifications

  • Experience at a leading international law firm.

  • Prior experience advising clients in artificial intelligence, embodied AI, robotics, autonomous driving, or advanced manufacturing and technology sectors.

  • Expertise in cross-border compliance, international commercialization/product expansion, and international intellectual property matters.

  • Experience managing a law firm team and/or leading complex legal projects. Candidates transitioning from private practice into an in-house legal management role are particularly welcome.
