Manager - Legal - NBFC

An NBFC is hiring a Legal Manager to support its lending and documentation function.

Key responsibilities:

- Review and vet facility agreements, both secured and unsecured

- Review co-lending agreements and service level agreements

- Handle hypothecation deeds, guarantees, demand promissory notes and NDAs

- Prepare corporate authorisations, resolutions and ancillary documents

- Review constitutional documents and authorisations for lending transactions

- Conduct legal research and track regulatory updates impacting NBFC operations

- Liaise with external counsel, law firms and consultants for transaction and legal support

- Maintain documentation systems and records

Mandatory skills:

- Loan and security documentation, supply chain finance products, Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, principles of hypothecation, IBC and SARFAESI.

Preferred:

- RBI Master Directions for NBFCs, co-lending guidelines, outsourcing guidelines and supply chain finance documentation exposure.

Candidate profile:

- 4-5 years post-qualification experience in banking, NBFC, financial services or a law firm handling BFSI sector matters.
