Role Summary

Treaty Oak is seeking a Manager, Project Finance, who will be a key team member involved in leading and/or supporting all aspects of the project finance function that has already successfully raised more than $1bn of project-level third-party funding across Treaty Oak’s first 3 projects. Responsibilities will span work streams relating to marketing, structuring, negotiating, executing, closing, and funding of construction and term debt financings and tax credit monetization for Treaty Oak’s late-stage and in-construction projects.

In this role, you will be the lead financial modeler in the team, take ownership of all model inputs and their supporting information; coordinate due diligence with consultants and financiers, and collaborate with internal and external stakeholders (e.g. counsel, lenders, investors, advisors, and consultants) across the full scope of relevant work streams to drive exemplary project financing processes.

This is a high responsibility and high growth opportunity role, with no limit on future progression as you increasingly develop familiarity with, and take ownership of, other key transaction work such as documentation structuring and review, as well as provide mentorship to the existing Associate in the team and potentially take on a direct report in future. Treaty Oak is consequently seeking a motivated individual with strong knowledge of renewable energy project financing concepts, demonstrable best-practice financial modeling of such projects, and transaction experience from relevant debt project financings and/or tax equity investments and their associated workflows.

The position will report to the Director, Project Finance who leads the 4-person project finance function comprising another Director, this Manager position, and an Associate. The project finance team forms part of Treaty Oak’s 11-person Investments team, which also comprises professionals dedicated to project M&A and internal investment decisions with MAM.

This role is based at Treaty Oak’s headquarters in Austin, TX, with a hybrid schedule in office Tuesday through Thursday and remote on Mondays and Fridays. Candidates must either be local or willing to relocate within two months. Until relocation, periodic travel to Austin will be required.

Key Responsibilities

· Lead the comprehensive development, updating, and management of fully structured (debt and tax equity) project-level financial models, analyse both financing / investment parameters and sponsor performance, and synthesize data to concisely communicate pertinent information to senior colleagues

· Manage company-wide financial model input intake processes, collaborating with all relevant internal SMEs to efficiently collect, refine, and update model inputs at each stage of project financing processes

· Scrutinize substantiating information for, and conversion of relevant data into, all financial model inputs through expertise on model structure, intuitiveness with renewable energy project economic drivers, and comprehensive knowledge of material project documents relating to live transactions

· Orchestrate financing due diligence processes and third-party reports, including managing Q&A logs, data rooms, and deliverables from consultants (e.g. independent engineering, transmission, market, insurance, cost segregation and appraisal, and property and sales tax projections)

· Prepare marketing materials (e.g. teasers and CIMs) for third party lenders and investors

· Support ad hoc work streams relating to marketing, negotiation, documentation, closing, and funding for debt financing and tax credit monetization transactions

· Communicate and build relationships with all internal SMEs / teams and external stakeholders

Education and Qualifications

· 5+ years of renewable energy project finance experience, preferably in utility scale PV and/or BESS

· BS / MS in Finance, Economics, Accounting, or another similarly quantitative course of study

· Exceptional Microsoft Excel and PowerPoint skills, with advanced knowledge of best practice project finance modelling (e.g. layout, model logic, formatting, formulae, and typical VBA code / macros)

· Strong understanding of renewable project economic metrics, value drivers, and key project documents

· Well-versed on construction-to-term debt, tax credit bridge loans, and current tax credit monetization structures (e.g. partnership flips, credit transfers, and hybrid structures) and related work streams

· Comfortable being responsible for work streams (e.g. financing consultant due diligence reports) from start to finish and taking ownership for the quality of end work product

· Experienced creating marketing materials and managing external-facing Q&A logs and data rooms

· Outstanding critical thinking skills, inquisitiveness, proactivity / resourcefulness, and pride in work

· Comfort working in a demanding, transaction-oriented team with cross-functional stakeholders

· Ability to dynamically prioritize various tasks and meet deadlines in an ever-changing environment
