KEY ACTIVITIES

1

Tax Compliance

• Manage tax provisioning with the internal compliance team, accounts team and external auditors to facilitate the tax audit as per the audit timelines and advise on tax notes for inclusion in Audited Financial Statements;
• Review and filing of quarterly advance tax and tax provision to ensure compliance with regulations, accounting principles and standards
• Review and monitor accuracy of tax accounting
• Manage the tax returns submissions on a timely basis within the relevant tax jurisdictions for all Essar Group entities under the responsibility of the Essar Capital Mauritius Limited’s Tax team
• Ensure adherence to all statutory compliances regarding accuracy of tax filings and timeliness in order to avoid any legal or reputational damage to the Essar Group

Tax Litigation

• Manage all the ongoing and new tax examinations and litigations
• Provide responses to the tax audits by tax authorities
• Provide solutions, responses and recommendations to settle and resolve any tax litigations of relevant Essar Group entities at examination, objection and tax tribunals stages in Mauritius and relevant jurisdictions
• Coordinate with external tax consultants in order to provide and prepare responses to resolve all litigations and appeals in the best possible way
• Provide recommendations in creating a strategy to ensure similar challenges is mitigated such that the entities can avoid tax litigations in the future

Tax support

• Provide quarterly tax updates to internal compliance team for inclusion in board packs
• Present tax updates and attend queries from Board of Directors
• Attend ad-hoc requests, prepare reports and respond to queries from various stakeholders
• Recommend payments of all invoices from a tax standpoint – investigate, understand and challenge before recommending
• Manage all control sheets and IMS on a timely basis for regular presentation to the Senior Management team
• Managing engagement and onboarding of external consultants, WIP, billing and settlement of invoices
• Assist in seeking approval from Senior Management for any tax payments in a timely manner

Mergers and Acquisition

• Develop and serve as a technical resource for tax due diligence, tax structuring and tax modeling for mergers, acquisitions and business transactions
• Conduct tax evaluation and investigations into the tax liabilities and conducting a tax due-diligence of potential acquisition targets and potential business divestitures
• Solve complex tax, accounting and business issues through an understanding of financial statements, regulatory filings, transactional documents, tax returns, litigations notices with a focus on developing tax structures and providing tax due diligence services for M&A transactions

Tax Planning

• Conduct extensive tax research involving complex technical tax issues across tax law of relevant jurisdictions and provide recommendations on developing an effective tax plan as per the tax strategies of Essar Group
• Provide inputs while formulating tax-planning strategies and perform tax assessments in order to ensure minimize tax flow and maximize tax optimization
• Analyse and advise business on taxation related issues that impacts the business as per the statutory regulations
• Monitor adherence to tax principles as per the tax structure and provide recommendations on increasing tax savings, avoid double cost in order to manage the tax flow and ensure an effective tax rate
• Prepare tax payment schedules and ensure actual tax computation are in line with tax budget and provide explanations for any deviations
