Position Summary

● The Manager, Treasury owns treasury, liquidity, lender compliance, cap table, and shareholder support activities across the Company — including the 13-week cash flow model, weekly cash reporting, lender covenant compliance tracking and reporting, credit facility administration, and cap table maintenance — supporting liquidity management, debt compliance, shareholder activity, funding transactions, and diligence support.

● This role works closely with the VP Finance, CFO, Accounting, Tax, Legal, Corporate Development, lenders, investors, and shareholders, and requires direct, relevant experience operating in a private equity-backed partnership LLC environment, stock incentive plans, and private credit facilities — including hands-on ownership of the 13-week cash flow and lender compliance functions.


Essential Duties and Responsibilities

1. Liquidity Management and Cash Flow Forecasting

● Own and maintain the Company's 13-week cash flow model and weekly cash reporting process — including recurring updates, variance analysis, and reporting to Finance leadership — and provide timely liquidity analysis and recommendations to the VP Finance and CFO to support operational, financing, investment, and shareholder-related decisions.

● Monitor cash balances across the Company's bank accounts, manage cash positioning to support liquidity needs and optimize interest income, and partner with Accounting, Tax, Payroll, and AP to incorporate receipts, disbursements, debt service, distributions, and taxes into liquidity forecasts.


2. Lender Compliance and Credit Facility Management

● Own lender covenant compliance tracking, reporting, and related support for the Company's credit facilities — preparing recurring compliance calculations, certificates, and schedules per credit agreement requirements — and ensure principal, interest, commitment fees, and other debt-related payments are calculated, scheduled, reviewed, and paid timely.

● Manage the Company's DDTL and revolver draw request processes and incurrence test calculations — preparing required analyses, coordinating approvals, and supporting lender communications — and maintain debt schedules, covenant tracking, borrowing availability analyses, and repayment schedules.


3. Cap Table, Valuation, and Equity Administration

● Support maintenance of the Company's cap table — ownership records, shareholder activity, incentive awards — processing share issuances, redemptions, PIU grants and forfeitures, and related equity activity in coordination with Finance, Legal, Tax, and HR, and maintaining supporting documentation and ongoing improvements to processes and controls.

● Coordinate publication of the quarterly share price following review by the VP Finance and CFO, supporting related valuation reporting, analyses, and documentation for shareholder, incentive plan, and share activity purposes.


4. Shareholder Communications and Investor Relations Support

● Manage shareholder communications related to distributions, taxable income estimates, K-1s, and other ownership matters, and prepare materials to support shareholder meetings, including financial schedules, ownership reporting, distribution analyses, and valuation materials.

● Support the VP Finance and CFO in investor relations activities, coordinating with Tax, Legal, Accounting, and external advisors to ensure communications are accurate, complete, and well-supported, and maintain organized records of shareholder communications, ownership activity, and valuation materials.


5. Financing Support, Diligence, and Strategic Finance Partnership

● Support debt and equity funding rounds, refinancing activities, credit facility amendments, and other financing transactions as directed by the VP Finance and CFO, preparing supporting materials — treasury, liquidity, debt, cap table, valuation, and shareholder data — for investor, lender, creditor, and financing counterparty diligence.

● Provide materials and analyses supporting quality of earnings processes and investor, creditor, and lender diligence, coordinating with Finance, Accounting, Corporate Development, Legal, Tax, and external advisors on timely, accurate diligence responses, and maintain organized support files, data room materials, and transaction support documentation.

● Provide treasury analysis and decision-support for liquidity planning, debt capacity, capital structure, and shareholder activity, partnering with Finance, Accounting, Tax, Legal, Corporate Development, HR, lenders, and external advisors on treasury, debt, equity, and investor relations needs, and contributing to special projects and strategic initiatives as directed by Finance leadership.


6. Treasury Process Development and Continuous Improvement

● Develop, maintain, and improve treasury processes, reporting methodologies, controls, and documentation standards — spanning liquidity reporting, cash forecasting, lender compliance, Carta administration, and shareholder reporting — and maintain organized treasury files and workpapers, partnering with Accounting and Finance leadership to ensure treasury activity is complete, accurate, and aligned with financial reporting requirements.

● Support implementation and enhancement of treasury, reporting, banking, and equity administration tools and processes as the Company continues to scale.


Supervisory Responsibilities

● May provide guidance, training, and mentorship to Finance team members involved in treasury reporting, cash forecasting, lender compliance, cap table administration, and shareholder reporting — supporting knowledge transfer, process documentation, and onboarding as directed by Finance leadership.


Knowledge, Skills, and Abilities

● Strong understanding of treasury, liquidity management, cash forecasting, and debt compliance — including private credit facilities, lender covenants, and borrowing/debt-service mechanics — as well as partnership LLC ownership structures, cap table maintenance, stock incentive plans, PIUs, and shareholder activity.

● Ability to manage complex financial models, recurring reporting processes, lender deliverables, and equity administration and investor support materials with a high degree of accuracy, communicating treasury, debt, equity, and shareholder matters clearly to finance and non-finance stakeholders.

● Ability to manage multiple priorities in a fast-paced, evolving environment and work effectively across functional areas, with sound professional judgment to identify, escalate, and resolve significant treasury, liquidity, compliance, equity, or shareholder-related issues, and proficiency across financial systems, banking platforms, and equity administration tools.


Performance Expectations

Success in this role will be measured by the individual's ability to:

● Maintain an accurate, timely, decision-useful 13-week cash flow model and weekly cash reporting process, and effectively manage lender covenant compliance, credit facility administration, debt service, and draw request processes.

● Support the maintenance of accurate cap table records and quarterly valuation/share price processes in Carta, and support effective shareholder communications regarding distributions, taxable income estimates, K-1s, and other shareholder matters.

● Provide reliable treasury, liquidity, debt, equity, and investor relations support to the VP Finance, CFO, and other stakeholders — including debt and equity funding rounds, quality of earnings processes, and diligence — contributing to scalable treasury processes and consistently delivering high-quality work with strong attention to detail, responsiveness, confidentiality, and professional judgment.

Compensation: Merit Financial Advisors offers competitive compensation based on experience, qualifications, location, and market data. Where required by applicable law, salary ranges will be provided during the hiring process.



Requirements

Requirements:

● Bachelor's degree in Finance, Accounting, Economics, Business, or a related field required.

● 5+ years of progressive experience in treasury, corporate finance, FP&A, private equity portfolio company finance, capital markets, credit, investment banking, transaction advisory, or a related field, including direct, relevant experience operating in a private equity-backed partnership LLC environment with majority insider ownership, stock incentive plans, and private credit facilities.

● Demonstrated experience owning a 13-week cash flow model and lender compliance tracking, covenant calculations, and credit facility administration required, along with experience supporting debt or equity funding rounds, investor or creditor diligence, or quality of earnings processes; experience managing DDTL and revolver draws, borrowing availability analysis, and incurrence test calculations preferred.

● Experience with cap table administration, equity incentive plans, shareholder activity, or partnership ownership reporting required; experience with Carta preferred.

● Advanced proficiency in Microsoft Excel and financial analysis required; experience preparing Board, lender, creditor, investor, shareholder, financing, diligence, quality of earnings, or executive-level reporting materials preferred.
