Nominee Director
Summary
Act as a local nominee director for Singapore-incorporated companies to ensure compliance with the Singapore Companies Act and corporate governance standards.
About the Role
We are recruiting a local Nominee Director on behalf of our corporate clients. This position is required to fulfill the statutory requirements of the Singapore Companies Act, whereby every Singapore-incorporated company must appoint at least one director who is ordinarily resident in Singapore.
The successful candidate will serve as the locally appointed director and is expected to uphold the highest standards of corporate governance, regulatory compliance, and professional integrity.
Key Requirements
* Must be a Singapore Citizen or Singapore Permanent Resident (PR).
* Strong understanding of Singapore’s regulatory and legal framework, including but not limited to:
• Singapore Companies Act
• Corporate governance requirements
• Employment and immigration regulations
• Financial and regulatory compliance
• Other applicable statutory and regulatory obligations
* Comprehensive knowledge of Singapore’s Anti-Money Laundering and Countering the Financing of Terrorism (AML/CFT) regulations and compliance requirements.
* Ability to identify corporate compliance risks and ensure adherence to relevant laws and regulatory obligations.
* High level of integrity, professionalism, confidentiality, and sound judgment.
Preferred Qualifications
Candidates with one or more of the following backgrounds are strongly preferred:
* Corporate Legal Counsel
* Corporate Secretarial or Compliance
* Finance, Accounting or Audit
* Human Resources Management
* Risk Management or Regulatory Compliance
* Previous experience serving as a Resident/Nominee Director or Board Director is an advantage.
