Resident Nominee Director & Shareholder

We are a corporate services group operating in Singapore for over 10 years. On behalf of our client, we are seeking a Singapore Citizen or Permanent Resident to serve as resident nominee director and nominee shareholder of a Singapore-incorporated IT company. The beneficial owner is a citizen of Kazakhstan.
This is an exclusive, single-company appointment. The appointee will act for this company only and will not be offered or permitted nominee appointments for any other client company through us.
Scope of the role — non-executive:
- Hold the resident-director position
- Hold shares as nominee under a Declaration of Trust
- Sign board and shareholder resolutions and statutory filings
- Attend in person for bank and financial-institution onboarding: identity verification, liveness checks, branch appointments, signature specimens
- Attend notarial appointments requiring personal presence
No management authority, no operational control, no discretionary access to company funds. Commitment is occasional, concentrated around banking and annual filing periods.
Requirements:
- Singapore Citizen or Permanent Resident, ordinarily resident in Singapore
- Not an undischarged bankrupt; not disqualified from acting as a director
- Clean regulatory, criminal and credit record; able to pass fit-and-proper screening
- Willing to attend appointments in person — this cannot be delegated
- Preferred: background in accounting, corporate services, compliance or law
Terms:
- SGD 10,000–12,000 per annum, gross, covering both the directorship and the nominee shareholding. Paid quarterly in advance
- Documents signed with the beneficial owner: Nominee Director & Shareholder Service Agreement; Declaration of Trust; Letter of Undertaking and Indemnity
- The indemnity covers acts performed on proper instructions and does not extend to the appointee's own breach of statutory duty
