Secretarial Lead
Key Responsibilities:
1. Statutory & Regulatory Compliances
Ensure compliance with the Companies Act, SEBI regulations, LODR, and other applicable laws.
Track and monitor statutory compliances using compliance management software.
Proactively identify compliance risks and ensure timely closure.
Manage filings and disclosures with Stock Exchanges.
Ensure compliance with SEBI (LODR) requirements.
Support investor communication and maintain healthy investor relationships.
Plan, convene, and conduct Board Meetings, Committee Meetings, and Annual General Meetings in compliance with statutory provisions and Secretarial Standards.
Prepare agendas, notices, minutes, and action-taken reports.
Ensure effective communication and closure of Board decisions.
Maintain statutory registers, records, and event-based compliance documentation.
Create and manage a structured database of filings and documents in standard formats.
Periodically review and update documents as per changing regulations.
Handle ROC filings and e-forms under the Companies Act and Securities Laws.
Ensure accuracy, timeliness, and proper tracking of all e-form submissions.
Identify policy requirements as per Companies Act and SEBI regulations.
Draft, update, and implement statutory and governance policies.
Ensure effective adoption and implementation of policies across the organization.
Identify opportunities to improve compliance and governance processes.
Work closely with internal teams to define and implement action points.
Track progress and ensure timely execution of improvement initiatives.
Coordinate preparation and dispatch of Annual Reports.
Ensure Annual Reports meet statutory and regulatory requirements.
Benchmark disclosures by reviewing annual reports of peer organizations.
Act as a key liaison with regulatory bodies such as ROC, SEBI, Stock Exchanges, and other authorities.
Facilitate inspections, filings, and correspondence with regulators.
Drive internal awareness on compliance requirements, insider trading norms, and governance expectations.

Requirements
Qualifications
CS certification from ICSI (essential).
Additional legal or compliance certifications (preferred).
Prior experience in corporate governance, compliance management, or similar roles.
