Senior Counsel

You will be a senior member of M0's legal team, reporting to the Deputy COO, with primary responsibility for commercial contracting, corporate governance execution, fundraising, day-to-day legal support, and other ad hoc strategic projects. You will play a critical role in hiring and developing a team as M0 scales, doing substantive legal work alongside an experienced executive team with significant exposure to many of M0's most critical and sophisticated workstreams.

Responsibilities

• Serve as the in-house point of contact across commercial, corporate, and operational legal matters, working closely with senior decision makers
• Act as the legal lead on M&A, investments, joint ventures, and other strategic corporate initiatives, structuring and executing deals from diligence to closing
• Draft and negotiate highly-tailored agreements with strategic partners and sophisticated counterparties in institutional finance, digital assets, and technology sectors
• Provide practical advice on IP, data protection, and regulatory matters implicated in agreements
• Oversee corporate structuring and ongoing legal functions, including managing corporate records, governance materials, and filings for entities globally
• Collaborate with colleagues in finance, operations, product, and business development to solve problems and drive alignment on transactional efforts and equity and token administration matters

Requirements

• J.D. from an accredited, top-tier law school
• Member in good standing of a U.S. state bar (preferably NY)
• 7+ years of relevant legal experience, including foundational training at a top-tier law firm in a corporate or transactional practice
• In-house experience at a high-growth technology company, preferably in fintech or Web3, is strongly preferred
• A strong track record of independently leading complex commercial and corporate transactions, especially in tech, payments and finance
