Senior Legal and Contract Manager

Solarvest is a Malaysia-based integrated solar and renewable energy provider delivering solar projects and related energy solutions across the Asia Pacific region. Operating at the intersection of energy, infrastructure, and project delivery, the company supports complex renewable projects that require strong commercial judgment, practical legal structuring, and disciplined risk management.

This role is a key senior legal position within the business, supporting project delivery, financing, governance, and strategic decision-making across the Group. You will provide commercially sound legal advice across a broad range of matters, helping the business navigate complex contractual arrangements, manage risk proactively, and support regional growth in the renewable energy and construction space.

Responsibilities:

A. Contract Management & Advisory

• Draft, review, and negotiate EPCC, EPC, Design & Build, Supply, and O&M contracts, with clear articulation of employer and contractor responsibilities and risk allocation.
• Review and structure subcontracts to protect the company’s position as main contractor and maintain back-to-back obligations.
• Establish and maintain standard contract templates and playbooks.

B. Project Risk & Commercial Support

• Provide legal support across the full project lifecycle, including tender, execution, and close-out.
• Advise on contractual provisions such as Conditions Precedent (CP), Liquidated Damages (LD), Performance Bonds / Bank Guarantees, Variation Orders (VO), and Extension of Time (EOT).
• Identify and mitigate contractual and counterparty risks, including financial close, creditworthiness, and project bankability issues.

C. Financing & Banking Documentation

• Review and support negotiation of financing-related documentation, including facility agreements and security documents.
• Handle Bank Guarantee / Performance Bond structures and assignment-related arrangements.

D. Dispute Management & Claims Support

• Manage and support dispute resolution, including adjudication (CIPAA), arbitration, and litigation.
• Work with Project and Finance teams on claim strategies, contractual positions, and supporting documentation.
• Liaise with and manage external legal counsel.

E. Regulatory & Compliance

• Ensure compliance with applicable laws, regulations, and licensing requirements, particularly in the energy and construction sectors.
• Monitor regulatory developments and advise management on business impact.

F. Cross-Border Legal Support

• Support regional projects and contracts across multiple jurisdictions, including advising on governing law, jurisdiction, and enforcement risks.
• Coordinate with external counsel in foreign jurisdictions.

G. Governance & Process Improvement

• Develop, standardise, and improve legal templates, policies, processes, and contract management practices.

H. General Legal Advisory

• Oversee and manage other legal matters of the Group across corporate, commercial, regulatory, and operational areas.

Requirements

• Senior manager-level experience in legal and contract management.
• Strong experience with EPCC, EPC, Design & Build, and O&M contracts, ideally within construction contracting and renewable energy or solar projects.
• Proven experience drafting subcontracts with back-to-back obligations.
• Experience reviewing and negotiating financing-related documentation.
• Hands-on dispute experience, including matters such as CIPAA, arbitration, or litigation.
• Business-fluent Mandarin.
• Eligibility to work in Malaysia.
• An LLB or other formal legal qualification is preferred.
• Holding a practicing certificate or bar admission would be an advantage.
