Key Responsibilities

  • Lead and oversee corporate affairs and company secretarial functions, ensuring compliance with SEC, SET, and other regulatory requirements.
  • Act as primary advisor to the Board of Directors and Sub-Committees on corporate governance, statutory obligations, and best practices.
  • Plan, coordinate, and execute Board meetings, Sub-Committee meetings, and the Annual General Meeting (AGM) in accordance with legal and regulatory requirements.
  • Manage corporate disclosures, reporting, and filings for a listed company, ensuring accuracy, timeliness, and transparency.
  • Develop, review, and maintain corporate governance frameworks, policies, charters, and internal controls.
  • Serve as the main liaison with regulators, the Stock Exchange of Thailand, Thailand Securities Depository (TSD), auditors, and external advisors.
  • Oversee legal affairs including contract strategy, high-risk contract review, and legal risk assessment.
  • Provide strategic legal advice to senior management on corporate, commercial, and regulatory matters.
  • Identify, assess, and mitigate corporate, governance, and legal risks impacting the organization.
  • Lead and develop the Corporate Affairs & Legal team, ensuring capability building, performance management, and succession planning.
  • Continuously enhance corporate affairs processes and systems to improve governance effectiveness and operational efficiency.

Qualifications

  • Bachelor’s or Master’s degree in Law, Corporate Governance, or a related field.
  • Minimum of 10–12 years of experience in corporate affairs, company secretarial, or legal roles, preferably in a listed company.
  • Strong knowledge of SEC, SET regulations, corporate governance principles, and statutory compliance.
  • Proven experience advising Boards and senior executives on governance and regulatory matters.
  • Leadership experience with the ability to manage and develop professional teams.
  • Strong business acumen with the ability to balance governance, legal, and commercial priorities.
  • Excellent communication, negotiation, and stakeholder management skills in Thai and English.
  • High integrity, sound judgment, and the ability to handle sensitive and confidential matters.
