Senior Legal Counsel

Responsibilities

  • Act as legal counsel for ECM transactions (asset injections, disposals, capital markets deals)
  • Oversee due diligence, issue spotting, and review/negotiation of transaction & disclosure documents
  • Draft, review and negotiate M&A documents (SPA, investment, SHA, financing, ancillary docs)
  • Advise on regulatory, disclosure and corporate governance matters
  • Support compliance with securities laws, listing rules and ongoing disclosure obligations
  • Prepare/review offering documents, circulars, announcements and investor communications
  • Lead/support legal due diligence for acquisitions, divestments and capital markets deals
  • Manage external counsel, underwriters, valuers and other advisers
  • Act as key legal contact with internal stakeholders (investments, finance, tax, project teams)
  • Support negotiations with investors, JV partners and financiers
  • Develop and maintain templates, precedents and legal playbooks
  • Drive standardisation and continuous improvement of legal processes

Requirements

  • LL.B. or higher qualification
  • Admitted to practice in a common law jurisdiction
  • 5+ years PQE, ideally from top-tier/reputable law firm
  • Experience in capital markets, M&A, REITs, structured finance or complex transactions
  • Exposure to international / cross-border deals
  • Strong transaction management, drafting and negotiation skills
  • Sound commercial judgment; ability to provide practical, business-focused advice
  • Excellent written and verbal English communication skills
  • Ability to engage senior stakeholders and external advisers across jurisdictions
  • Proactive, adaptable, able to work independently
  • Strong ownership, able to manage multiple complex workstreams
  • Collaborative team player with high professional and ethical standards
