Senior Legal Counsel – Commercial, Energy & Digital Advisory

About the Role
Aldelia Nigeria is seeking a Senior Legal Counsel to provide strategic legal and compliance support across the Group advising on commercial transactions, regulatory compliance, corporate governance, energy-sector matters, and digital technology initiatives to protect enterprise value and enable business growth.
Key Responsibilities
- Lead negotiation and execution of complex agreements (M&A, JV, project finance, divestments, shareholder matters)
- Provide legal support on oil & gas, power, mining, and infrastructure projects; draft and negotiate Hydrocarbon Sale, EPC, Technical Service, and Supply Agreements
- Monitor laws and regulations; ensure 100% compliance and support governance frameworks
- Advise on technology transactions, software licensing, data protection, AI, cybersecurity, and IP protection
- Manage litigation, arbitration, and coordinate external counsel
- Represent Legal & Compliance in regulatory engagements; build relationships with government bodies, external counsel, and vendors
Requirements
- LL.B Degree (Master's or PGD an advantage)
- Minimum of 15 years post-call experience
- Extensive experience in Energy Law (Oil & Gas, Power, Mining) and Digital Technology
- Strong knowledge of corporate transactions, M&A, JV, and regulatory/compliance frameworks
- Strategic legal advisory and commercial focus
- Strong contract negotiation and drafting skills
- Strong analytical, communication, and stakeholder engagement skills
- Proficiency in Microsoft Office
